How does the online system work?

In order to successfully register your business in the State of Utah you must fulfill the following minimum requirements:

  1. Register your business name and entity type (corporation, sole proprietorA business owned completely by a single person.ship, etc.) by filing Articles of Incorporation, Articles of Organization, Certificate of Partnership, or Doing Business As application with the Utah Department of Commerce, Division of Corporations and Commercial Code.
  2. Apply for and obtain a Sales & Use Tax License from the Utah State Tax Commission if you will be selling goods or products in the state OR if you do not make retail sales, you purchase goods or services tax-free from vendors outside Utah for storage, use or consumption by you in Utah.
  3. Apply for and obtain an Employee Income Tax Withholding Number from the Utah State Tax Commission if you will have employees.
  4. Apply for and obtain an Unemployment Insurance Employer Identification Number from the Department of Workforce Services if you will have employees.
  5. Apply for and obtain a business license from the municipality in which your business will be located. Each and every business outlet will require a separate business license.

This online system will fulfill all these requirements by submitting the required information to the agencies listed above. Once you complete your registration, you will receive your account information from participating agencies, all online.

For local municipality business licenses, the system will collect preliminary information, but you will need to complete the registration process, including paying for your license(s), in the local office of the city or county for each business location.

Most businesses will need to obtain a Federal Employer Identification Number (FEIN) with the Internal Revenue Service in the event a corporation, limited liability company, limited partnership, limited liability partnership, OR sole proprietorA business owned completely by a single person. with employees is being created.
