Glossary of Terms


 
OSBR - Defined Terms:

A domestic entity is any business entity created or originally filed in this jurisdiction, in other words, within the State of Utah.

A manager is a person elected or otherwise designated by the members to manage a manager-managed company.

Business/Corporate Name Reservation - A filing of intent to do business under an assumed name before the business actually begins its activities.

Business Trust - A form of business organization created by a trust agreement and filed with the state according to UCA §16-15 http://le.utah.gov/~code/TITLE16/16_15.htm

Common and Preferred Stock - Common Stock - A class of stock entitling the holder to vote on corporate matters and to share in assets upon liquidation.

DBA - The name under which a business operates or by which it is commonly known. Also known as 'Doing Business As.' DBA's can be either a sole proprietorship or general partnership.

Domestic Profit Corporation - A business corporation that is created to make a profit and is chartered under the laws of this state.

Electronic Signature - This means an electronic sound, symbol, or process attached to, or logically associated with, a record and executed or adopted by a person with the intent to sign the record. Applying an Electronic Signature is what you do when you electronically input your name onto an online application for acceptance of a position.

FEIN - Federal Employer Identification Number or the number applied for on IRS form SS-4 and assigned by the Internal Revenue Service. (See http://www.irs.gov/instructions/iss4/index.html)

Foreign vs. Domestic - Foreign entities are any business entity that was originally created or filed in any jurisdiction other than this jurisdiction - in other words, outside the state of Utah.

Incorporator - A person who takes part in the formation of a corporation usually by signing the articles of incorporation.

LLP vs. LLC - LLP is a Limited Liability Partnership or a general partnership that is registered according to UCA §48-1-42 http://le.utah.gov/~code/TITLE48/48_02a.htm

Member vs. Manager - A member is a person with an ownership interest in a company and with the rights and obligations specified.

Perpetual Existence - A designation that the business entity will continue until dissolved according to statute.

Power of Attorney or Attorney-in-Fact - An instrument granting someone authority to act as agent or attorney-in-fact (one who is designated to transact business for another).

Preferred Stock - A class of stock giving its holder a preferential claim to dividends and corporate assets upon liquidation. It usually has no voting rights.

Principal - An applicant, owner, officer, director, trustee, Incorporator, organizer, member, manager, partner, or any other position named on a statutory filing.

Registered Agent - A person or business authorized to accept service of process for a business. The Registered Agent must have a Utah street address for service of process.

Registration Number (entity number) - A unique number assigned by the Utah Department of Commerce, Division of Corporations & Commercial Code, to identify each business entity registered with that office.

Single Member LLC - A Limited Liability Company with only one member. (See LLC above.)

Sole Proprietor - A business owned completely by a single person.

Trademark - A word, phrase, logo or other graphic symbol used to distinguish products from others. Trademarks are generally registered with a government agency to protect the rights of the trademark owner.
