DIGITAL CORPS/LLC (Title 11 Section 3001) This Act allows the company and their participants to dictate almost all of the terms of their internal organizational and operational communications between them by means of a digital operating agreement - thus dispensing with the standard paper-based format. Participants are free to agree upon the terms of their relationship, and how the company is to be governed, the economic relationships between them, how meetings are to be conducted, and other internal matters. FEES July 1, 2008 some fees increased- Be sure to check the fee prior to submitting your application.

Vermont Benefit Corporation Effective July 1, 2011 - 11A V.S.A. chapter 21 is added: This chapter only applies to a domestic corporation. New incorporations or existing corporations filing articles of amendment may file as a public benefit corporation. Benefit corporation means a corporation defined as (A) providing low income or underserved individuals or communities with beneficial products or services; (B) promoting economic opportunity for individuals or communities beyond the creation of jobs in the normal course of business; (C) preserving or improving the environment; (D) improving human health; (E) promoting the arts or sciences or the advancement of knowledge; (F) increasing the flow of capital to entities with a public benefit purpose; and (G) the accomplishment of any other identifiable benefit for society or the environment. Applications will not be accepted until the July 1, 2011 effective date. Forms will be provided by the Secretary of State. This chapter does not affect any statute or rule of law as it applies to a corporation that is not a benefit corporation. |
