WHO CAN FILE: Profit corporations and limited liability companies (foreign or domestic) with a status of "active." If you received a paper notice in the mail it is time for you to file the annual report, if you haven't received a paper notice by mail chances are one is not due at this time. You may search the database to verify status before proceeding with the online filing.

If the status is other than 'active' contact our office for assistance.

WHEN TO FILE: This is based on the fiscal (month) year end as stated in the original articles or amendment. Refer to the chart below, based on your fiscal filing month, to determine when you can file your annual report.

PAYMENT: Payment for online filing is by credit card only. We accept Visa or Mastercard. A small service fee associated with credit card use will be collected at the time of filing.

RESTRICTED DATA FIELDS: Some data fields cannot be updated online, they are listed below. To update these fields complete the proper application and mail with filing fee, to the Secretary of State, Corporations Division, 128 State Street, Montpelier, VT 05633-1104.

To change the fiscal filing MONTH send written notice to our corporations office.
To change the NAME of the company (whether it's a domestic or foreign) you will need to file an amendment form.
To change the name or address of the registered AGENT you must file the change of agent form.

The REGISTERED AGENT must be an individual who lives in Vermont, or another properly registered in good standing corporation or limited liability company with an office located in Vermont. The registered agent CANNOT be (1) the company itself (2) a registered trade name (3) the Secretary of State or (4) non residents.

The same person can hold all Offices in a PROFESSIONAL CORPORATION.
