Description of Transaction


Background

Global Crossing Ltd. ("Global Crossing") and Citizens Communications Company ("Citizens") have filed applications pursuant to Section 214 of the Communications Act of 1934, as amended, 47 U.S.C. § 214, requesting Commission approval to transfer control of international and domestic authorizations held by indirect, wholly-owned subsidiaries of Global Crossing (collectively, "Frontier") to Citizens. The parties have also filed an application for Commission consent to transfer control to Citizens of a cable television relay service (CARS) authorization held by Frontier Cable of Wisconsin, Inc. The requested transfers of control are part of a stock purchase transaction in which Global Crossing will sell Frontier's incumbent local exchange carriers ("LECs") and various wireless licenses that support the incumbent LEC operations to Citizens.
