The Rt. Hon. the Lord Hague of Richmond (Chairman of the Board)

Lord Hague served as a Member of the UK Parliament from 1989 to 2015. He introduced the landmark Disability Discrimination Act in 1995 as the Minister of State responsible for Social Security and Disabled People and, in the same year, was appointed Secretary of State for Wales by Prime Minister John Major. He was leader of the Conservative Party from 1997 to 2001. He served as Foreign Secretary from 2010 to 2014, as well as First Secretary of State, a role he carried with him when he became Leader of the House of Commons from 2014 to 2015 before retiring from British politics at the General Election. Prior to his service in Parliament beginning in 1989, Lord Hague was a management consultant at McKinsey & Co Inc. from 1983 to 1988 and worked for Shell (UK) Limited from 1982 to 1983.

Lord Hague earned a First-Class Honours in Philosophy, Politics, and Economics from Oxford University and an MBA with distinction from the Institut Europeen d’Administration des Affaires (INSEAD).

Lord Hague was granted a life peerage in August 2015 and is a member of the House of Lords.

Roger Barton

Roger Barton has had extensive experience of the development and operation of trading and financial infrastructure, and related regulatory requirements. Prior to his retirement in 2015, he ran Financial Reform Consultancy, specialising in the strategic and practical implications of financial regulatory reform. Previously, Roger was a Managing Director at Tradeweb, where he served as head of Tradeweb’s European and Asian business.

Until 2005, Barton headed European e-commerce at Goldman Sachs, establishing Goldman Sachs’ overall e-commerce strategy, and working with a range of e-commerce platform providers to put this into effect. Earlier on in his time at Goldman Sachs, which began in 1994, he acted as Co-Chief Operating Officer for the firm's futures business before being seconded to BrokerTec, to initiate the development of futures trading and clearing facilities.

Before joining Goldman Sachs, Roger was extensively involved in the setting up and subsequent development of the London International Financial Futures and Options Exchange (LIFFE).

Roger has acted as a non-executive director on the Board of ICE Clear Europe, and chaired the Futures and Options Risk Committee, since 2011. He was appointed as a director of ICE Futures Europe in November 2013. In the past Roger has served on the Boards of the London Clearing House, LIFFE, the Securities and Futures Authority and the Futures and Options Association.

Phil Bruce

Phil Bruce is a senior strategist, respected influencer and successful implementer of innovation and growth in the UK and international financial and commodity markets infrastructure. He has a successful track record as a strategy advisor to top management and governing boards and has over 25 years of experience of initiating and leading significant business change and development. Phil is well connected with regulatory bodies in the UK, Europe, US, India, China and Japan and has dealt with them at a senior level frequently in his career.

Phil has held Strategy and Business Development responsibilities at NYSE Euronext Inc, Euronext NV, LSE Group, London Clearing House Ltd and LIFFE. He has also regularly led significant development projects/teams with substantial associated budgets, including: M&A and anti-trust work; clearing development; product and marketing development, and the development and introduction of new trading technology.

Phil was appointed as a non-executive director of ICE Futures Europe in January 2014.

Tim Faithfull

Tim Faithfull is a corporate director. Until July 2003, when he retired, he was President and Chief Executive Officer of Shell Canada Limited. He joined the Royal Dutch Shell Group of companies in 1967 and throughout his 36-year international career with them he held ever-increasing senior positions including Vice-President Crude Oil Shell International Trading and Shipping Company from 1993 to 1996 and Chairman and CEO Shell Companies in Singapore from 1996 to 1999, culminating in his appointment as President and Chief Executive Officer of Shell Canada Limited, where he was responsible for the development and execution of the Athabasca Oil Sands Project, Shell Canada’s first oil sands mining and upgrading venture, since doubled in size.

Between 1999 and July 2003, whilst in Calgary he also served on the boards of the Calgary Health Trust and Epcor Centre for the Performing Arts. Since retiring from Shell, Tim has served as a director of Canadian Pacific Railway, and Enerflex Systems Income Fund in Calgary, and Amec Foster Wheeler plc, where he was Senior Independent Director, and Shell Pension Trust Limited in the UK.

He is currently on the board of directors of Canadian Natural Resources Limited, where he serves on the Audit and HSE committees, and TransAlta Corporation, where he serves on the Audit and Risk and the Governance and Environment committees.

He is Chairman of the Starehe Endowment Fund in the UK, which supports two schools for disadvantaged children in Nairobi, Kenya, and is a Council Member of the Canada–UK Colloquia.

Tim is an MA of the University of Oxford (Keble College) (Philosophy, Politics and Economics), and is a Distinguished Friend of the University, in recognition of service as an external member of committees of both Keble and the University. He is an alumnus of the London Business School (Senior Executive Program).

In April 2013, Tim was appointed to the board of ICE Futures Europe as an independent, non-executive director and he is a member of its Risk and Audit Committee.

David Goone

Dave Goone is Chief Strategy Officer of Intercontinental Exchange (NYSE: ICE). He is responsible for all aspects of ICE's product line, including futures products and capabilities for ICE's electronic platform.

Goone sits on the ICE Benchmark Administration Board of Directors as well as the Oversight Committee. He serves on the BRIX Board of Directors, a Brazilian energy market in which ICE is a partner. Goone is also Vice Chairman of the Cetip Board of Directors, a leading operator of capital and credit markets in Brazil, a publicly-traded company in which ICE is a minority shareholder. Additionally, Goone represents ICE on industry boards including the Options Clearing Corporation, National Futures Association and the Depository Trust & Clearing Corporation. He is also a member of the Commodity Futures Trading Commission Global Markets Advisory Committee.

Prior to joining ICE in 2001, Goone was Managing Director and Head of Product Development and Sales at the Chicago Mercantile Exchange. Before joining the CME in 1992, Goone served as a Vice President at Indosuez Carr Futures, where he was instrumental in developing institutional and corporate business. Prior to joining Indosuez, Goone worked at Chase Manhattan Bank, where he developed and managed the company's exchange-traded foreign currency options operation at CME.

Goone earned a Bachelor of Science degree in Accountancy from the University of Illinois at Urbana-Champaign.

Sir Callum McCarthy

Sir Callum McCarthy is the former Chairman of the U.K. Financial Services Authority (the "FSA"), a role he held from September 2003 until September 2008. Before his post at the FSA, Sir Callum was Chairman and Chief Executive of Ofgem, the economic regulator of the gas and electricity industries in the U.K., from 1998 to 2003. Prior to Ofgem, Sir Callum held numerous senior level positions in the financial services industry from 1985 to 1998, including Barclays Bank (North America and Japan), Barclays de Zoete Wedd (BZW) and Kleinwort Benson. He also held various posts in the U.K. Department of Trade and Industry from 1972 to 1985.

Sir Callum holds a Master of Science from the Stanford University Graduate School of Business, where he was a Sloan fellow, a Master of Arts in History from Merton College at Oxford University and a Doctorate in Economics from Stirling University.

Sir Callum is a director of the Industrial & Commercial Bank of China and a Trustee of both the IFRS Foundation and the University of Oxford Saïd Business School. He is also the Chairman of Promontory Financial Group (UK).

Sir Callum McCarthy served on the Board of Directors of Intercontinental Exchange, Inc. from October 2009 to May 2016 and currently sits on various subsidiary boards and committees, including ICE Futures Europe.

Chris Moorhouse

Chris Moorhouse has over 40 years’ experience in the energy sector and spent much of his career progressing through various posts at BP plc, including Chief Executive roles at BP Med S.A., Air BP, BP Oil UK and Oil Trading International. His final role at BP plc was Group Vice President, Human Resource Management, where he was responsible for the global HR function of the BP group.

He holds a BSc in Chemistry from Manchester University and completed the Programme for Management Development (PMD) from Harvard Business School. He was made a Fellow of the Energy Institute in 1999.

Chris has previously served as an independent non-executive director of ICE Clear Europe Limited and chaired its Audit Committee. In addition to his tenure at BP plc, he has held several other senior roles in the industry, including President of the Institute of Petroleum, and he chaired the Institute of Business Ethics from 2005 to 2014. He has also held Visiting Professor posts at the University of Reading’s Henley Business School and continues to work closely with several industry associations, practitioner panels and committees.

Chris has been an independent non-executive director of ICE Futures Europe since September 2010.

David Peniket

David Peniket is the President of ICE Futures Europe, the London-based energy exchange that is part of the Intercontinental Exchange (NYSE: ICE). In this role, Peniket oversees all technology, market operations and financial functions at ICE Futures Europe. Prior to joining ICE in 2001, Peniket served as Director of Finance at the International Petroleum Exchange (IPE), today known as ICE Futures Europe, since May 2000. Before joining IPE, Peniket was an accountant at KPMG since 1992, where he worked as a consultant in the company's financial management practice. In addition, Peniket served as a Research Assistant to John Cartwright, SDP Member of Parliament prior to assuming a career in finance. Peniket earned a Bachelor of Science degree in Economics from the London School of Economics and Political Science and is also a Chartered Accountant.

Vanessa Sharp

Vanessa joined the ICE Futures Europe board as an independent non-executive director in September 2016 and chairs its Authorisation, Rules and Conduct Committee. She retired from KPMG's partnership in 2015 after 19 years, where she served as General Counsel and Board Secretary of KPMG UK and Europe.

Vanessa is also an independent non-executive director of Companies House. She is a Senior Associate at Independent Audit Limited and Reputability LLP, where she works on corporate governance issues, and is also an advisor to Stephenson Harwood LLP. She is a trustee of Goldsmiths College, University of London, and Chair of their Finance and Resources Committee, and is also a trustee of the charity Create Arts.

Jeffrey Sprecher

Jeff Sprecher is Founder, Chairman and CEO of Intercontinental Exchange, Inc. (NYSE: ICE) and Chairman of the New York Stock Exchange. Sprecher acquired the predecessor company to ICE for $1, building a company with a market capitalization over $30 billion. Under Sprecher’s leadership, ICE grew from operating an energy swaps market into a network of 11 global exchanges, including the New York Stock Exchange, through organic growth and acquisitions. ICE’s exchanges include equity and equity options exchanges, as well as futures exchanges that establish benchmark prices for interest rates, equity indexes, energy, metals and agricultural commodities. In addition, ICE operates 6 central clearing houses that provide risk management services.

As a power plant developer, Sprecher recognized the need among energy market participants for an accessible, standardized electronic marketplace for OTC energy contracts. He acquired Continental Power Exchange (CPEX) in 1997 to achieve his vision of an efficient market that would bring transparency to previously opaque and fragmented markets. Intercontinental Exchange was formed in 2000 and the company completed its initial public offering in 2005 on the NYSE. He has served as the company's Chief Executive Officer since May 2000 and as Chairman of the Board since November 2002.

Sprecher has led numerous strategic initiatives that have enabled ICE to expand from a single asset class — energy — into a broad range of asset classes today. These have included numerous acquisitions, including the International Petroleum Exchange of London (2001), the New York Board of Trade (2007), Creditex (2008), The Clearing Corporation (2009), the Climate Exchange (2010), NYSE Euronext (November 2013), Singapore Mercantile Exchange (2014) and Interactive Data Corporation (2015).

In addition to expanding through acquisitions, Sprecher has focused ICE's resources on organic growth, including developing the first cleared OTC energy contracts (2002), building the first new major clearing house in the U.K. in over a century (2008), and launching the world's leading clearing houses for credit derivatives (2009). Through ICE Data Services, ICE is one of the world’s foremost providers of financial market information.

Sprecher's leadership has been recognized by Businessweek, Institutional Investor and a number of other industry publications. He was selected as a finalist in Ernst & Young's Entrepreneur of the Year program in 2002 and by MarketWatch as one of five finalists in the MarketWatch CEO of the Year program in 2006. Also in 2006, ICE's stock was named the best 1-year performer by The Wall Street Journal, and in 2010 the company was named as the fastest growing company in the Financial Services category by Fortune magazine. In 2015, Sprecher was nominated for Best CEO in Institutional Investor’s annual poll. Since 2014, he has been named one of Barron’s 30 World’s Best CEOs.

Sprecher is involved in a number of civic initiatives. He is the Chairman of the Buckhead Coalition; is a Wisconsin Alumni Research Foundation Trustee; and is on the Board of Directors for the Metro Atlanta Chamber, The Commerce Club and Atlanta Committee for Progress.

Prior to acquiring CPEX, Sprecher served as President of Western Power Group, Inc., a developer, owner and operator of large central-station power plants in California.

Raised in Wisconsin, Sprecher earned a Bachelor of Science degree in Chemical Engineering from the University of Wisconsin at Madison and a Master of Business Administration from Pepperdine University in Malibu, California.

Andrew Whittaker

Andrew Whittaker is a member of the regulatory committee for Abu Dhabi Global Markets, the new international financial centre in Abu Dhabi, and a trustee of the British Institute International and Comparative Law.

Andrew was Group General Counsel to Lloyds Banking Group from May 2013 to April 2015. Prior to this, Andrew was General Counsel to the Board of the Financial Services Authority from April 2000 until January 2013. For most of this period, and throughout the Global Financial Crisis, he was a member of its Executive Committee and involved in the FSA's decision-taking, including on how to respond to the crisis. Before that, he was Deputy General Counsel to the FSA, and had held a series of roles with the Securities And Investments Board, one of its predecessor bodies. During this period he drew up the original Oil Market Code of Conduct, and conducted the Equity Markets Review which paved the way for order-driven trading on the LSE. He had previously qualified as a solicitor and worked as a lawyer at the Department of Trade and Industry. Andrew was educated at Balliol College, Oxford.

Andrew is on the advisory boards of the Journal of International Banking Law and Regulation, the Financial Services Lawyers Association, and the Queen Mary College Masters in Law and Finance. He was a non-executive board member of the Legal Services Board, the oversight regulator for lawyers, from 2008 to 2014, and a member of its risk and audit committee.

Andrew joined the board of ICE Futures Europe in January 2017 and chairs its Risk and Audit Committee.
