SEC NEWS DIGEST Issue 2006-15 January 24, 2006 COMMISSION ANNOUNCEMENTS REGULATION A EXEMPTION OF AXUM INCORPORATED TEMPORARILY SUSPENDED The Commission temporarily suspended Axum Incorporated's Regulation A exemption from the registration requirements of the Securities Act of 1933 on Jan. 24, 2006, pursuant to Rule 258 of Regulation A under the Securities Act. The Commission temporarily suspended the Regulation A exemption of Axum Incorporated because: 1) the Offering Statement filed by Axum on Commission Form 1-A on Jan. 13, 2006, contains untrue statements of material facts and omits to state material facts necessary in order to make the statements made, in the light of the circumstances under which they are made, not misleading; 2) Axum has failed to comply with the terms and conditions of Regulation A because its Offering Statement omits essential information required by Regulation A and Commission Form 1-A; and (3) the offering, if made, would be in violation of Section 17(a) of the Securities Act. The Commission cautions brokers, dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Any person with an interest in this matter may, within thirty calendar days after entry of the Commission's Order Temporarily Suspending Exemption Pursuant to Rule 258 of Regulation A under the Securities Exchange Act of 1933, Statement of Reasons for Entry of Order, and Notice of and Opportunity for Hearing against Axum, file with the Commission a written request for a hearing for the purpose of determining whether the suspension should be vacated or made permanent. (Rel. 33-8654; File No. 3-12158) ENFORCEMENT PROCEEDINGS FORMER FINANCIAL ANALYST BARRED FROM SECURITIES INDUSTRY On January 11, the U.S. District Court for the Central District of California entered a settled final judgment against Robert Y. Joo, a former financial analyst, based upon charges of insider trading. In its complaint, filed on April 28, 2005, the Commission alleged that, during 2002 and 2003, Joo and Doseph J. Shin, a co-defendant, misappropriated material nonpublic information from the investment banks where they worked and tipped co-defendants Ernesto V. Sibal, Chae Hyon Chin, Benjamin Y. Chiu and Pejman Sabet in advance of one or more of four separate merger transactions. The defendants used the misappropriated information to trade in the securities of one or more of the following companies: NCS Healthcare, Inc., The DeWolfe Companies, Inc., Prime Retail, Inc. and Airborne, Inc. The complaint alleged that during the course of these multifaceted and highly profitable insider trading schemes, the individuals who executed the trades shared certain of their illegal profits with, or paid kickbacks to, Shin and/or Joo. The Commission alleged that defendants, collectively, made in excess of $970,000 in illegal profits from these trading schemes. Judgment was entered against Shin, Sibal, Chin and Chiu on July 22, 2005. Joo also pled guilty in a criminal proceeding filed by the United States Attorney's office for the Central District of California to conspiring to commit securities fraud and wire fraud, and conspiring to obstruct SEC proceedings. He was sentenced on January 6, 2006 to three years probation and one year of home confinement. Without admitting or denying the allegations in the Commission's complaint, Joo consented to the entry of the final judgment, which permanently enjoins him from violating Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 and Rules 10b-5 and 14e-3 promulgated thereunder and holds him jointly and severally liable for $969,894.10 in disgorgement, but reduces that liability by the amount of disgorgement and prejudgment interest already paid by Sibal, Shin, Chin, Chiu and Sabet. The judgment further waives Joo's remaining liability of $42,992.68, representing $38,607 in disgorgement and $4,385.68 in prejudgment interest based on sworn representations in Joo's Statement of Financial Condition and other documents and information submitted to the Commission. Today, based on the entry of the Court's injunction, the Commission instituted settled administrative proceedings against Joo. Without admitting or denying the Commission's findings, Joo consented to the entry of a Commission order barring him from associating with any broker, dealer, or investment adviser. CA, filed April 28, 2005] (LR-19539) ORDERS ISSUED STAYING SEC'S ACTION AND REQUIRING DEFENDANT RANDALL TREADWELL TO SHOW CAUSE WHY HIS PRETRIAL RELEASE SHOULD NOT BE REVOKED On Nov. 17, 2005, the Honorable Thomas J. Whelan, United States District Judge for the Southern District of California, issued an order staying the Commission's civil action against defendants Randall T. Treadwell, Rick D. Sluder, Larry C. Saturday, and Arnulfo M. Acosta until the conclusion of the criminal action filed against them by the United States of America in the United States District Court for the Southern District of California (case number 05 CR 1570 W). Treadwell, Sluder, Saturday, and Acosta were indicted on Sept. 8, 2005, by a federal grand jury in San Diego charging them with wire fraud and conspiracy. The court's stay order provides that the receivership of Learn Waterhouse, Inc. shall continue and the receiver shall continue to perform all of his duties; however, the receiver cannot pay any investor claims until the stay is lifted by further order of the Court or expires by its own terms. The stay order further provides that all terms and subsequent modifications of the court's Nov. 1, 2004, order of preliminary injunction remain in effect except those provisions which require the defendants to furnish information or records to the Commission or the receiver. The order provides that the defendants may still be held in contempt if they violate the unstayed provisions of the preliminary injunction. The court previously ordered Treadwell to appear on Dec. 5, 2005, and show cause why he should not be held in civil contempt for violating the court's preliminary orders freezing his assets. This was the third such order issued by the court against Treadwell. The hearing did not take place on Dec. 5, 2005, because Treadwell had been arrested and taken into custody for allegedly violating the conditions of his pretrial release in the criminal action pursuant to an order issued by the court. The court is scheduled to hold a hearing on Feb. 14, 2006, to decide whether to revoke Treadwell's pretrial release pending his trial in the criminal action. On Oct. 12, 2004, the Commission filed a complaint against Treadwell, Sluder, Saturday, Acosta, and Learn Waterhouse, alleging that they had raised millions from 1700 investors in a nationwide Ponzi scheme. On Nov. 1, 2004, Thomas Lennon was appointed as the permanent receiver over Learn Waterhouse and given authority over all of its assets. The court also ordered the defendants to repatriate all assets from abroad, and issued a preliminary injunction prohibiting all of the defendants from future violations of the antifraud and registration provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. On Feb. 23, 2005, and Oct. 17, 2005, the court issued orders finding Treadwell in civil contempt. Treadwell is the former chairman, president and chief operating officer of Learn Waterhouse, a Texas corporation, which allegedly operated a fictitious prime bank trading program. [SEC v.
