          SEC To Consider One Item at an Open Meeting


      Washington,  D.C., December 1, 1998 -- The  Securities  and
Exchange  Commission will consider one item at  an  open  meeting
conducted  under the Government in the Sunshine Act on Wednesday,
December 2, at 10:00 a.m.  The meeting will be held in Room  1C30
at  the  Commission's headquarters building,  450  Fifth  Street,
N.W., Washington, D.C.  The item for discussion is:


          -    a recommendation to adopt rules regarding the
          regulation of alternative trading systems under the
          Securities Exchange Act.  In addition, the Commission
          will consider adopting Rule 19b-5 and amendments to
          Rule 19b-4, under the Securities Exchange Act, that
          address the rule filing requirements for self-
          regulatory organizations.
