           DECISION AND ORDER APPROVING SETTLEMENT

     This case arises under the Surface Transportation Assistance
Act of 1982 (STAA), 49 U.S.C. § 2301 et seq., and the
implementing regulations at 29 C.F.R. pt. 1978.  On March 9, 1995,
I received a settlement agreement in this matter which appears to
have been signed by an attorney for the Prosecuting Party, by
Complainant, and by an agent of Respondent.  This settlement
agreement is incorporated herein by reference, and each party who
is served a copy of this Decision and Order Approving Settlement
should also receive a copy of the settlement agreement.  I have
reviewed this matter and find the settlement to be fair and in the
public interest.  Pursuant to 29 C.F.R. § 1978.111(d)(2), the
settlement agreement is HEREBY APPROVED.
