                           DECISION AND ORDER
             APPROVING STIPULATION AND ORDER OF DISMISSAL

     The above-captioned matter is before the undersigned pursuant
to an alleged violation of the Employee Retirement Income Security
Act of l974, as amended, 29 U.S.C. l00l, et seq, and
the implementing regulations at 29 C.F.R. §§2520 and
2570.     

     On February 23, l994, the parties submitted for approval by
the undersigned a Stipulation and Order of Dismissal, a copy of
which is appended hereto and made a part hereof.  Having duly
considered the matter,

     IT IS ORDERED that the request for dismissal is APPROVED and
the proceeding in this matter is DISMISSED, with prejudice.

     IT IS FURTHER ORDERED,

     l.   That this order shall have the same force and effect as
an order made after a full hearing;

     2.   That the entire record in which this order is based shall
consist solely of the stipulation and this agreement;


[PAGE 2] 3. That the parties are deemed to have waived any further procedural steps before the undersigned; 4. That the parties are deemed to have waived any right to challenge or contest the validity of this order and decision entered in accordance with their agreement of dismissal; 5. That this decision and order shall be the final agency action in this matter; and, 6. That the parties have agreed that each party to this stipulation shall bear its own costs, expenses, and attorney's fees in connection with this action. Daniel J.
