Enforcement Proceedings

In the Matter of Andrew J. Franz

On July 24, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940 (Order) against Andrew J. Franz (Franz).

In the Order, the Division of Enforcement (Division) alleges that on March 15, 2012, the Commission filed a Complaint (Complaint) in the United States District Court for the Northern District of Ohio (the Court), SEC v. Andrew J. Franz, Civil Action Number 5:12-cv-00642 (N.D. Ohio). The Complaint alleged that Franz conducted a fraudulent scheme from 2007 to the present in which he misappropriated at least approximately $865,969 from clients of Ruby, including $779,418 from family members and $86,551 from other clients. The Complaint also alleged that Franz misappropriated over $172,000 from Ruby itself by stealing legitimate client fees payable to Ruby. The Complaint also alleged that Franz returned approximately $684,000 to Ruby disguised as client fees to conceal the firm’s dwindling client base and revenues. The Complaint alleged that Franz violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder and Sections 206(1) and 206(2) of the Advisers Act.

The Division also alleges that on March 16, 2012, the Court entered an order against Franz, permanently enjoining him from future violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder and Sections 206(1) and 206(2) of the Advisers Act. The Division also alleges that on May 24, 2012, the Court held an evidentiary hearing as to the matters alleged in the Complaint. The Division also alleges that on June 14, 2012, the Court entered Findings of Fact & Conclusions of Law in support of the Court’s March 16, 2012 permanent injunction order, based on the evidence offered during the May 24, 2012 evidentiary hearing.

A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the Order are true, and to provide Franz an opportunity to dispute these allegations, and to determine what, if any, remedial sanctions are appropriate and in the public interest.

The Order requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. (Rel. 34-67491; IA-3437; File No. 3-14960)

In the Matter of Wilfred R. Blum and Alexander Lindale, LLC

On July 24, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Notice of Hearing (Order) against Wilfred R. Blum and Alexander Lindale, LLC.

The Division of Enforcement alleges in the Order that Wilfred R. Blum (Blum) is the general manager of Alexander Lindale, LLC (Alexander Lindale). Blum was not registered with the Commission in accordance with Section 15(b) nor was he associated with a broker or dealer. Beginning in January 2008 and continuing through January 2010, Blum, on behalf of himself and acting through Alexander Lindale, conducted numerous unregistered offerings and distributions of Copper King Mining Corp stock. The Division further alleges that on June 28, 2012, a final judgment was entered against Blum and Alexander Lindale, permanently enjoining them from future violations of Sections 5(a) and 5(c) of the Securities Act of 1933 and Section 15(a) of the Securities Exchange Act of 1934 in the civil action entitled Securities and Exchange Commission v. Copper King, et al., Civil Action Number 2:11-CV-00526, in the United States District Court for the District of Utah, Central Division.

A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Blum and Alexander Lindale with an opportunity to respond to these allegations, and to determine what sanctions, if any, are necessary or appropriate for the protection of investors. The Order directs the administrative law judge to issue an initial decision within 210 days from the date of service of the Order. (Rel. 34-67492; File No. 3-14961)

Approval of Proposed Rule Change

The Commission granted approval of a proposed rule change (SR-NYSEArca-2012-50) submitted by NYSE Arca, Inc. pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 and Rule 19b-4 thereunder relating to listing and trading of the First Trust CBOE VIX Tail Hedge Index Fund under NYSE Arca Equities Rule 5.2(j)(3). Proposed Rule Changes

The Stock Clearing Corporation of Philadelphia (SCCP) filed a proposed rule change (SR-SCCP-2012-01) under Section 19(b)(1) of the Exchange Act with respect to the amendment of the by-laws of its parent corporation, The NASDAQ OMX Group, Inc. New York Stock Exchange LLC filed a proposed rule change under Rule 19b-4 of the Securities Exchange Act of 1934 (SR-NYSE-2012-29) amending NYSE Rule 76 to add supplementary material relating to a cross function that provides a regulation NMS Rule 611-compliant tool for floor brokers. NYSE MKT LLC filed with the Securities and Exchange Commission a proposed rule change under Rule 19b-4 of the Securities Exchange Act of 1934 (SR-NYSEMKT-2012-26) amending Rule 76 - Equities to add supplementary material relating to a cross function that provides a regulation NMS Rule 611-compliant tool for floor brokers.
