Suspension of Trading in the Securities of Berman Center, Inc., Cyberkinetics Neurotechnology Systems, Inc., and Java Detour, Inc.

On April 27, 2012, the Commission issued an Order of Suspension of Trading Pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Order of Suspension) against Berman Center, Inc. (Berman Center), Cyberkinetics Neurotechnology Systems, Inc. (Cyberkinetics), and Java Detour, Inc. (Java Detour). The Order of Suspension finds that there is a lack of current and accurate information concerning the securities of Berman Center, Cyberkinetics and Java Detour because they have been delinquent in their required periodic reports since December 2007, June 2008 and September 2009, respectively.

Based on the above, the Order suspends the trading in the securities of Berman Center, Cyberkinetics, and Java Detour for the period from 9:30 a.m. EDT on April 27, 2012, through 11:59 p.m. EDT on May 10, 2012. (Rel. 34-66869)

Rules and related matters

Further Definition of “Swap Dealer,” “Security-Based Swap Dealer,” “Major Swap Participant,” “Major Security-Based Swap Participant” and “Eligible Contract Participant.”

On April 27, 2012, the Commission posted new rules and interpretive guidance, adopted jointly with the Commodity Futures Trading Commission under the Securities Exchange Act of 1934 and the Commodity Exchange Act, to further define the terms “swap dealer,” “security-based swap dealer,” “major swap participant,” “major security-based swap participant” and “eligible contract participant.”  The final rules establish which entities involved in the swaps market will be subject to the regulatory regime created by Title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010. The final rules are effective 60 days after publication in the Federal Register. (Rel. 34-66868)

Enforcement proceedings

In the Matter of Berman Center, Inc., Cyberkinetics Neurotechnology Systems, Inc., and Java Detour, Inc.

In conjunction with today’s trading suspension, the Commission issued an Order Instituting Administrative Proceedings and Notice of Hearing Pursuant to Section 12(j) of the Securities Exchange Act of 1934 against Berman Center, Inc. (Berman Center), Cyberkinetics Neurotechnology Systems, Inc. (Cyberkinetics), and Java Detour, Inc. (Java Detour). The Division of Enforcement alleges that Berman Center, Cyberkinetics, and Java Detour are all delinquent in their periodic filings with the Commission, having not filed any periodic reports since Berman Center filed a Form 10-KSB for the period ended December 31, 2007, Cyberkinetics filed a Form 10-Q for the period ended June 30, 2008 and Java Detour filed a Form10-Q for the period ended September 30, 2009. Court Awards Summary Judgment Against Defendant James Putman and Orders Him to Pay Over $1.6 Million

On April 24, 2012, a Wisconsin federal court awarded summary judgment to the Commission on its claims against James Putman (“Putman”), a defendant in an action filed by the Commission in May 2009. The Commission alleged in its complaint that in 2006 and 2007, Putman, the founder and Chief Executive Officer of Wealth Management LLC (“WM”), a registered investment adviser located in Appleton, Wisconsin, improperly accepted $1.24 million in undisclosed payments derived from life insurance premium financing investments made by WM’s clients. The complaint further alleged that Putman breached his fiduciary duty and engaged in fraud by misrepresenting the safety and stability of WM’s clients’ investments.

The Court’s Decision and Order granting the Commission’s motion for summary judgment enjoins Putman from future violations of Section 206(1), 206(2), and 206(4) of the Investment Advisers Act of 1940 and Rule 206(4)-8 thereunder, Section 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and orders Putman to pay disgorgement and prejudgment interest in the amount of $1,530,129 and a civil money penalty of $130,000, for a total amount of $1,660,129. Invesco Total Property Market Income Fund, et al.

A notice has been issued giving interested persons until May 21, 2012, to request a hearing on an application filed by Invesco Total Property Market Income Fund, et al., under Section 6(c) of the Investment Company Act of 1940 (Act) for an exemption from Section 19(b) of the Act and Rule 19b-1 under the Act. The order would permit certain registered closed-end management investment companies to make periodic distributions of long-term capital gains with respect to their outstanding common shares as frequently as monthly in any one taxable year, and as frequently as distributions are specified by or in accordance with the terms of any outstanding preferred shares that such investment companies may issue.
