Garrett (NJ): [Amendment, in the Nature of a Substitute] Replaces the annual shareholder vote with a triennial vote on compensation for public companies, allows shareholders to opt out of "say on pay" provision, prohibits the preemption of State law regarding independent compensation committees, and strikes section 4 of the bill (federal regulator-determined compensation restrictions).
