Notice of Consummation of Assignments and Transfers of Radio Broadcast Stations

Authorized broadcast stations may only be assigned or transferred subsequent to the grant of an assignment or transfer application on Form 314, 315, or 316 as appropriate. Consummation of voluntary assignments and transfers must be completed within 90 days from the grant date of the application. Upon consummation of the assignment or transfer, at least one party must notify the Commission of the date of the consummation. Notification is made by means of a simple letter directed to the address indicated below. In order for us to update our databases properly, we request that the letter contain the following information:

  • Station Call Sign
  • Granted Assignment Application or Granted Transfer Application File Number
  • Date of Consummation
  • New Mailing Address
  • Assignor (Former Licensee or Permittee Name) OR Transferor
  • Assignee (New Licensee or Permittee Name) OR Transferee
  • Licensee Name (for Transfer of Control Applications)
  • Where to Send the Notice of Consummation

    The completed letter, in triplicate, notifying the Commission of the consummation of an assignment or transfer, should be mailed to:

    Ownership Report (Forms 323 and 323-E)

    Within thirty (30) days of consummation, it will be necessary for the new licensee or permittee to submit an Ownership Report (FCC Form 323 for commercial stations, Form 323-E for noncommercial educational stations) to the Commission's Ownership Office reporting all changes as required by 47 CFR Section 73.3615. Where applicable, a separate Ownership Report should also be completed and submitted for any holding company (25% greater ownership interest) of the licensee or permittee. Contractural information required by 47 CFR Section 73.3613 should also be reported for the assignee in Item 6, page one of the Ownership Report, and copies of each instrument should be submitted with the report. If this is an involuntary assignment that was the result of death or a court action, an Ownership Report must be filed to determine that all requirements of the Rules have been met and reported. In the event the assignee is the licensee or permittee of another station and has a current Ownership Report on file, the new licensee or permittee may only file Page 1 of Form 323 (Form 323-E for noncommercial educational stations) to reflect the acquisition of the subject station(s).

    Where the Ownership Report is being submitted for a noncommercial educational station, or a commercial station filing as a result of consummation of an assignment or transfer, no application filing fee is required for that application. In such a case, DO NOT SEND THE APPLICATION TO MELLON BANK. Instead, send it to the Office of the Secretary at the address noted in the previous section. The cover letter must clearly state that the ownership application is being filed subsequent to consummation of an assignment or transfer, and is therefore exempt from a fee, and clearly reference Mail Stop 1800E5 (corresponding to the Media Bureau's Ownership section). DO NOT send ownership forms to Mr. Konrad Herling.

    If an assignment or transfer will not be consummated, the parties must advise the Commission of that fact by letter to Mr. Konrad Herling at the address indicated above.
