SEC NEWS DIGEST Issue2002-129 July 5, 2002 ENFORCEMENT PROCEEDINGS JOHN BROWNSON BARRED On July 3, the Commission has barred John S. Brownson, a former registered representative from Las Vegas, Nevada, from associating with a broker or dealer. Administrative proceedings were instituted based on Brownson's guilty plea to one count of conspiracy to commit securities fraud, mail fraud, and wire fraud. The indictment alleged that Brownson recommended securities to customers in return for undisclosed payments from the securities' promoter. The Commission found that the law judge properly decided the matter based on a motion for summary disposition because there was no genuine issue with regard to any material fact in the case. According to the Commission, Brownson engaged in serious misconduct. Moreover, the Commission held that Brownson's refusal to accept responsibility for his actions suggested a troubling lack of appreciation for the responsibilities of a securities professional. Concluding that Brownson represented a threat to investors, the Commission determined that his exclusion from the industry was required by the public interest. (Rel. 34-46161; File No. 3-10295) SEC OBTAINS PRELIMINARY INJUNCTION AGAINST OPERATORS OF ALLEGED HEDGE FUND; COURT ORDERS DEFENDANTS TO STOP SOLICITING OR RECEIVING INVESTOR FUNDS On June 28, 2002, the Honorable James L. Graham, United States District Judge for the Southern District of Ohio, entered a preliminary injunction against Von C. Cummings, Paramount Financial Partners, L.P., Paramount Capital Management, LLC, Kevin L. Grandy and James "Curt" Conley. The order prohibits these defendants from selling securities or accepting funds from investors, and enjoins them from violations of the antifraud provisions of the federal securities laws. The order also directs that they provide sworn accountings to the Commission by July 19, 2002. On Monday, June 24, 2002, the Commission filed a civil injunctive action in federal district court in Columbus, Ohio, accusing Cummings and others of defrauding dozens of investors by conducting a Ponzi scheme through a purported Ohio-based hedge fund, Paramount Financial Partners, L.P. The Commission's complaint alleges that Cummings and various marketers induced investors to pay at least $15 million into the hedge fund from at least May 2000 through March 2001, but that Cummings and others misappropriated or diverted those funds to pay earlier investors and pay personal and business expenses. The Commission's complaint alleges that the defendants falsely portrayed Paramount as a "registered hedge fund" that generated supposed investment returns of as much as 99 percent. Victims were told that Paramount had access to certain discounted securities that they could purchase through Paramount and sell for large profits. Victims were also told that they were required to maintain their principal and supposed profits with Paramount for a set period of time. The complaint alleges that Paramount issued false trade confirmations and account statements to trick investors into believing that Paramount had purchased and sold certain securities for their accounts and generated large profits. Paramount then raised new investor funds that it used to pay earlier investors and to pay personal and business expenses. [SEC v. Ohio] (LR-17598) FORMER MERCURY FINANCE EMPLOYEE SETTLES INSIDER TRADING ACTION On June 28, 2002, the Commission filed a complaint in Federal District Court in Chicago, Illinois, alleging that Janice Loef, a resident of Wheeling, Illinois and former employee of Mercury Finance Co. (Mercury), avoided losses of approximately $280,000 by selling Mercury common stock shortly before Mercury disclosed the existence of massive accounting irregularities. On July 2, Judge Charles P. Kocoras issued an order enjoining her from violating anti-fraud provisions of the federal securities laws, and ordering her to disgorge $278,993.70, of which all but $160,000 was waived due to her financial condition. Loef consented to the order, without admitting or denying the Commission's allegations, The complaint alleges that Mercury, a prominent sub-prime finance company, disclosed on January 29, 1997, that its reported net earnings for 1995 and 1996 had been overstated by more than $80 million. In reaction to that announcement, the price of Mercury's common stock plummeted by 89%. According to the complaint, Loef sold a total of 20,799 shares of Mercury common stock on January 27 and 28, 1997, avoiding losses of $278,993.70. The complaint further alleges that, at the time Loef sold her shares, she was generally aware that Mercury's headquarters were in a crisis atmosphere, that Mercury's Principal Accounting Officer was missing, and that Mercury's outside auditors were at Mercury's headquarters questioning personnel.
