The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act), of trading of the securities of Verdisys, Inc. (VDYS), of Houston, Texas at 9:30 a.m. EST on March 10, 2004, and terminating at 11:59 p.m. EST on March 23, 2004. The Commission temporarily suspended trading in the securities of Verdisys because of questions that have been raised about the accuracy and adequacy of publicly disseminated information, including assertions made in Commission filings, concerning, among other things, the company's business operations related to its lateral drilling services and the company's anticipated and actual revenues. The Commission cautions broker dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. ENFORCEMENT PROCEEDINGS SEC FILES SETTLED ENFORCEMENT ACTION AGAINST BANC OF AMERICA SECURITIES The Commission announced today a settled enforcement action against Banc of America Securities LLC (BAS) for violations of the recordkeeping and access requirements of Sections 17(a) and 17(b) of the Securities Exchange Act of 1934 and Rule 17a-4(j) thereunder. The violations occurred during a pending Commission investigation that is seeking to determine whether, among other things, BAS engaged in improper trading of securities prior to the firm's issuance of research concerning such securities. The Commission found that BAS repeatedly failed to promptly furnish documents requested by the staff, provided misinformation concerning the availability and production status of such documents, and engaged in dilatory tactics that delayed the investigation. BAS consented, without admitting or denying the Commission's findings, to cease and desist from committing or causing violations of Sections 17(a) and 17(b) of the Exchange Act and Rule 17a-4(j) thereunder. BAS also agreed to a censure and a $10 million civil penalty. The Commission's order finds that BAS willfully failed to preserve or promptly furnish certain records after they were requested. In particular, the Commission found that BAS failed promptly to produce (i) electronic mail, including a particular e-mail exchange relating to matters that BAS knew were under investigation, (ii) certain compliance reviews, and (iii) compliance and supervision records concerning the personal trading activities of a former senior employee of the firm. The Commission's investigation is continuing. (Rel. 34-49386; File No. 3- 11425; Press Rel. 2004-29) STEPHEN FORBES COOPER, LLC, ET AL. On Dec. 31, 2003, Enron Corp. (Enron), a holding company within the meaning of Section 2(a)(7) of the Public Utility Holding Company Act of 1935, as amended (Act), Stephen Forbes Cooper, LLC and PGE Trust (collectively, Applicants) filed an application for exemption from all requirements of the Act (except Section 9(a)(2)) pursuant to Section 3(a)(4) of the Act. The Commission initiated a proceeding regarding this application on Jan. 14, 2004, and scheduled a hearing on the briefs to address Enron's request for exemption. On March 9, Enron registered as a holding company under the Act and Applicants requested leave to withdraw the application. The Commission has granted withdrawal of the application and has dismissed the proceeding. (Rel. 35-27811; File No. 3-11373; Press Rel. 2004-30) COMMISSION SETS ASIDE FINDINGS THAT AMR ELGINDY AND KEY WEST SECURITIES ENGAGED IN A MANIPULATIVE SCHEME AND SUSTAINS FINDINGS AND SANCTIONS REGARDING VIOLATION OF NASD COMMUNICATION RULES The Commission has set aside NASD's findings and sanctions against Amr Elgindy and Key West Securities Inc. regarding an alleged manipulative scheme concerning the stock of Saf T Lok, Inc. in October and November 1997. NASD found that Elgindy and Key West manipulated the market for Saf T Lok stock. The record did not support NASD's allegations. The Commission sustained NASD's findings that Elgindy and Key West had violated NASD public communication rules by not disclosing in the press releases that Key West made a market in Saf T Lok stock. The Commission found that NASD's imposition of a $1,000 fine on Elgindy and Key West jointly and severally was not excessive, oppressive nor an unnecessary or inappropriate burden on competition. (Rel. 34-49389; File No. 3- 11145) SEC ORDERS HOUSTON-BASED BJ SERVICES COMPANY TO CEASE AND DESIST FROM VIOLATING THE ANTI-BRIBERY, BOOKS AND RECORDS, AND INTERNAL ACCOUNTING CONTROL PROVISIONS OF THE FOREIGN CORRUPT PRACTICES ACT On March 10, the Commission instituted an enforcement proceeding against Houston-based BJ Services Company, an oil field services company whose common stock is traded on the New York Stock Exchange, and found that, in 2001, the company bribed an Argentine government official, in violation of the federal Foreign Corrupt Practices Act (FCPA). The SEC found that BJ Services, through its wholly-owned Argentine subsidiary, violated the FCPA by: (1) illegally paying an Argentine customs official 65,000 Argentine pesos (equivalent to $65,000 USD) in January 2001, in return for overlooking a customs law violation and thereby allowing BJ Services' Argentine subsidiary to import a piece of oil well maintenance equipment that it needed to service a customer; (2) inaccurately recording the 65,000 peso payment and other payments to local officials and a private customs agent, which totaled approximately 151,000 Argentine pesos (equivalent to $151,000 USD), between 1998 and 2002; and (3) failing to implement sufficient internal accounting controls in its Latin American Region, which could have enabled BJ Services to prevent or promptly detect the improper or questionable payments and record keeping practices. The SEC ordered BJ Services to cease and desist from violating the bribery, books and records, and internal accounting control provisions of the FCPA. Without admitting or denying the findings in the SEC's cease-and-desist order, BJ Services has agreed to cease and desist from committing or causing violations of Sections 30A, 13(b)(2)(A), and 13(b)(2)(B) of the Securities Exchange Act of 1934. (Rel. 34-49390; AAE Rel. 1972; File No. 3-11427) ORDERS OF PERMANENT INJUNCTION AND OTHER RELEIF ENTERED AGAINST TELNETGO2000, INC. AND WAYNE MULLINS On March 5, the Honorable Susan R. Bolton, U.S. District Court, District of Arizona ordered a permanent injunction against Telnetgo2000, Inc. (Telnet) and Wayne E. Mullins (Mullins) from future violations of the antifraud and issuer reporting provisions of the federal securities laws and imposed a civil penalty against Mullins. The judgment was issued after a trial on the merits of the case. The Commission filed a compliant against Telnet and Mullins on Sept. 26, 2001, alleging that Telnet and Mullins made material misrepresentation and unreasonable projections of revenues and earnings in a series of quarterly and annual filings with the Commission and in private placement memorandum through which the company raised approximately $1 million form investors. The complaint alleged that by engaging in such conduct Telnet and Mullins violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and that Mullins aided and abetted Telnet in violating Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder. The order against Telnet prohibits violations of Section 17(a) of the Securities Act and Sections 10(b), and 13(a) of the Exchange Act and Rules 10b-5, 12b-20, 13a-1 and 13a-13 promulgated thereunder. The order against Mullins prohibits violations of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rules 10b-5 promulgated thereunder. The order also prohibits Mullins from engaging in aiding and abetting violations of Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder and orders Mullins to pay a civil penalty of $110,000.
