SEC NEWS DIGEST Issue 2005-228 November 29, 2005 COMMISSION ANNOUNCEMENTS LUCILE CORKERY NAMED ASSOCIATE DISTRICT ADMINISTRATOR FOR EXAMINATIONS IN THE SEC’S BOSTON DISTRICT OFFICE The Commission today announced the appointment of Lucile A. Corkery as Associate District Administrator for Examinations in the Commission’s Boston District Office. In this position, Corkery will have overall responsibility for the Commission’s examination program in the six New England states and will direct a staff of accountants and examiners that conducts inspections of broker-dealers, investment advisers, investment companies and transfer agents throughout the region. This is the first time the SEC has appointed an Associate District Administrator for Examinations in the Boston District Office. Corkery joined the Commission in 1989 as an examiner and was promoted to branch chief in 1995. She was appointed Assistant District Administrator in March 2004. Lori A. Richards, Director of the SEC’s Office of Compliance Inspections and Examinations, said, “This appointment reflects the increasing importance of the Boston office's work in carrying out the Commission's investor protection mission. Lucy has a thorough understanding of the industry and the issues currently at the forefront of the Commission’s agenda. She is a real asset for investors and the Commission.” Walter G. Ricciardi, District Administrator for the Boston District Office, said, “Lucy has been a major force in the Boston office’s efforts to protect investors. She will provide outstanding leadership to our team of examination professionals.” While serving as an examiner and manager in the Boston District Office’s examination program, Corkery coordinated and supervised several high profile examinations that uncovered significant wrongdoing and led to important Commission enforcement actions. Under her leadership, the examination staff made substantial contributions to recent SEC enforcement cases against Raymond James for the fraud of one of its brokers, two subsidiaries of FleetBoston for improper market timing agreements, and five former Prudential brokers for deceptive market timing practices. Before joining the Commission staff, Corkery spent several years in the private sector working in both the broker-dealer and investment management areas of the financial services industry. Corkery received her B.A. from Boston College in 1978. (Press Rel. 2005-165) SEC VOTES TO PROPOSE RULE TO PROVIDE INVESTORS WITH INTERNET AVAILABILITY OF PROXY MATERIALS The Securities and Exchange Commission today voted to propose for public comment rules that would allow companies and other persons to use the Internet to satisfy proxy material delivery requirements. Introduction When a person solicits a proxy from the shareholders of a company that is subject to the Commission’s proxy rules, Rule 14a-3 currently requires that a proxy statement, which must include specified disclosure, be delivered with or prior to that solicitation. Further, when a company solicits proxies, it also must deliver an annual report to shareholders, which must include additional specified disclosure. Under current rules and Commission interpretations, the proxy statement and annual report must be delivered in paper form or, if the shareholder consents, they may be delivered electronically (for example, by e-mail). The electronic delivery option requires affirmative shareholder consent and currently is used only on a limited basis. The proposed rules potentially would have two significant benefits: (1) they could result in a substantial decrease in the expense incurred by issuers to comply with the proxy rules; and (2) they would provide persons other than the company with a more cost-effective means to undertake their own proxy solicitations. Companies’ Use of the Proposed “Notice and Access” Model to Furnish Proxy Materials The company could satisfy its obligation to furnish proxy materials to shareholders through a “notice and access” model. The company would post its proxy materials on an Internet Web site (other than EDGAR) and would send a “Notice of Electronic Proxy Materials” (the Notice) at least 30 days before the date of meeting. · The Notice would have to contain the following information: · a prominent legend in bold-face type that advises shareholders of: (1) the date, time, and location of the meeting; (2) the electronic availability of the proxy materials at a specified Web site address; and (3) a toll- free phone number and e-mail address that shareholders may use to request copies of the proxy materials; and · a clear and impartial description of the matters to be considered at the meeting along with the company’s recommendation regarding those matters. · The Notice would have to be written in plain English and could not include any additional information. The following procedural requirements also would apply. · The proxy card would have to be accompanied by, and delivered through the same medium (paper or electronic) as, either the Notice or the proxy statement. · If a shareholder requested a copy of the materials identified in the Notice, the company would be obligated to send the materials within two business days. · Additional soliciting materials that are distributed after the Notice is sent would have to be posted on the Web site specified in the Notice. · For shareholders holding their shares through brokers, banks, or other intermediaries, the Notice and voting instruction form would be delivered through the intermediary. Those shareholders could request copies through either the company or the intermediary. The proposed rules would have no impact on any state law obligation regarding soliciting proxies or holding annual meetings. Further, the proposed rules would not apply to business combination transactions. Other Soliciting Persons’ Use of the Proposed “Notice and Access” Model to Furnish Proxy Materials Persons other than the company that are soliciting proxies would be able to rely on the proposed “notice and access” model in substantially the same manner as the company, with appropriate changes in the information required in the Notice. Because a competing solicitation likely would begin only after the company began its solicitation, the Notice would have to be provided to shareholders by the later of 30 days before the meeting or 10 days after the company filed its proxy materials. The proposed rules would continue to permit a soliciting person conducting a proxy solicitation to limit its solicitation to shareholders who are willing to access the soliciting person’s proxy materials electronically. Under such a limited solicitation, the soliciting person would have no obligation to deliver paper or e-mail copies of the proxy materials to anyone. Unlike a company, a soliciting person also would not have to deliver a Notice to shareholders unless the soliciting person wanted to deliver the proxy card or request for voting instructions to shareholders instead of posting it on an Internet website. Comments on the proposed rules should be received by the Commission within 60 days of their publication in the Federal Register. (Press Rel. 2005-166) APPLICATION TO EXTEND DUE DATE GRANTED The Commission has issued an order granting the application of Global Industries, Ltd. pursuant to Section 12(h) of the Securities Exchange Act of 1934, as amended, to extend the due date for Global Industries’ Form 10-Q for the quarter ended Sept. 30, 2005, to Nov. 29, 2005. (Rel. 34-52840) ENFORCEMENT PROCEEDINGS COMMISSION DECLARES DECISION FINAL AS TO INFORMATION ARCHITECTS CORPORATION The decision of an administrative law judge with respect to Information Architects Corporation is final. The law judge held that Information Architects violated Section 13(a) of the Securities Exchange Act of 1934 and Exchange Act Rules 13a-1 and 13a-13. The law judge found that Information Architects' Form 10-KSB for the year ending December 31, 2003 contained an auditor's report not prepared or issued by the auditor identified and that this misrepresentation was repeated in the three subsequent Forms 10-QSB filed by the company. An amended 2003 Form 10-KSB contained an auditor's report indicating that the December 31, 2003 financial statements were audited by a second, different auditor. In fact neither auditor had audited the company's financial statements. The law judge concluded that Information Architects had reasonably relied on an individual engaged to handle the filing of its reports, and had recognized its violations and mitigated them by filing amended periodic reports for the relevant periods. The law judge accordingly dismissed the proceeding. (Rel. 34-52845; File No. 3-11822) SEC OBTAINS FINAL JUDGMENT AGAINST JAMES FRANKLIN, JR.; COMMISSION BARS FRANKLIN FROM ASSOCIATION WITH AN INVESTMENT ADVISER, BROKER OR DEALER On November 23, the U.S. District Court for the Middle District of Florida entered a final judgment against James A. Franklin, Jr., enjoining Franklin from violating the anti- fraud and broker-dealer registration provisions of the federal securities laws. The judgment further ordered Franklin to disgorge $214,310.34 (including prejudgment interest). The Commission's complaint, filed in February 2000, alleged that Franklin, together with former sports agent William “Tank” Black, acted as an investment adviser and unregistered broker-dealer, made materially false or misleading statements and omissions to clients concerning the purchase and sale of securities, and misappropriated or diverted client funds for non-investment purposes. The complaint alleged that Franklin, among other things, advised clients to invest in high-yield promissory notes that purportedly funded a car title loan company. In reality, these notes were part of a Cayman Islands-based Ponzi scheme. The complaint alleged that Franklin skimmed some of clients’ supposed profits for himself. Franklin consented to the entry of the judgment without admitting or denying the allegations contained in the Commission’s complaint. On November 29, the Commission entered an order, upon Franklin’s consent, barring him from association with a broker, dealer or investment adviser. The Commission previously obtained full injunctive relief, disgorgement and broker- dealer and investment adviser bars against Black. [SEC v. James A. Franklin, et al., No. 8:00-Civ- 383-T-26B (M.D. Fla.)] (LR-19475); In the Matter of James A. Franklin, Jr. – (Rels. 34-52847; IA-2449; File No. 3-12112) FORMER HEDGE FUND MANAGER BARRED FROM ASSOCIATION WITH ANY INVESTMENT ADVISER The Commission today barred Joseph W. Daniel from association with any investment adviser following the entry of an order enjoining Daniel from violations of the anti-fraud provisions of the federal securities laws. Daniel was managing partner of the Critical Infrastructure Fund, a New York-based hedge fund. Daniel consented to the investment adviser bar without admitting or denying the findings in the Commission’s Order. The Commission based its Order on an injunction entered against Daniel in the Federal District Court for the Southern District of New York. On Oct. 7, 2005, the Court entered an order enjoining Daniel from violations of the anti-fraud provisions of the federal securities laws. The Commission’s Complaint alleged that Daniel was responsible for valuing private placement investments held in the Fund’s portfolio and wrote up the value of the Fund’s private placement investments by over 20%. The Complaint further alleges that starting in at least December 2000, Daniel improperly failed to write down the value of the private placement investments when those companies encountered financial difficulties, even when some declared bankruptcy. As a result, the Complaint alleges, Daniel made misrepresentations to investors about the value of their investments in the Fund and the Fund’s performance, allowed certain investors to redeem their shares at inflated values to the detriment of the remaining investors, and inflated the management fees paid by investors. In addition, the Complaint alleges that when new investors invested in the Fund in December 2001 and January 2002, Daniel made misrepresentations about the Fund’s assets, performance, and the percentage of assets the Fund invested in private placements. Daniel, without admitting or denying the allegations in the Commission’s Complaint, consented to the Court’s Order. (Rel. IA-2450; File No. 3-12113) SEC CHARGES ANALYST WITH FRAUD The Commission announced the filing on November 23 of a complaint in the U.S. District Court for the Southern District of New York against Berton M. Hochfeld and his wholly-owned management company, Hochfeld Capital Management, LLC (HCM). The complaint alleges that Hochfeld committed violations of the antifraud provisions of the federal securities laws. Hochfeld’s misconduct occurred while he was a research analyst at First Montauk Securities Corp. (First Montauk), a registered broker-dealer. In his capacity as a research analyst, Hochfeld followed companies in the enterprise software sector and regularly authored research reports which were distributed to First Montauk’s institutional customers. The complaint alleges that Hochfeld’s violations resulted from his directed trading of securities in contradiction to advice he gave in his research reports, a fraudulent conduct that is commonly referred to as “scalping.” According to the complaint, at the same time he was an analyst for First Montauk, Hochfeld also managed and directed trading for a private hedge fund called Hepplewhite Fund L.P. (Hepplewhite) through HCM. The complaint alleges that between March 27, 2003 and Dec. 15, 2003, Hochfeld’s research reports failed to disclose that Hepplewhite maintained positions in the stocks that were the subjects of Hochfeld’s research reports. The complaint further alleges that the reports failed to disclose that on numerous occasions, Hochfeld caused trades to be made in the subject stocks immediately after the issuance of the reports, contrary to the information or recommendations in the reports. The complaint alleges that, as a result of the foregoing, Hochfeld and HCM violated Section 17(a) of the Securities Act of 1933 (Securities Act), Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act), and Rule 10b-5 thereunder. Without admitting or denying the Commission’s allegations, Hochfeld and HCM have consented to the entry of a final judgment that permanently enjoins them from future violations of the above-mentioned provisions of the federal securities laws. Hochfeld and HCM have also agreed to disgorge, jointly and severally with each other, their ill- gotten gains of $77,915 plus prejudgment interest of $5,545, and to pay a civil penalty, assessed jointly and severally, in the amount of $75,000. Hochfeld and Hochfeld Capital Management, LLC, Case No. 05-CIV.-9921, SDNY] (LR-19474) SELF-REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES A proposed rule change filed by the Chicago Board Options Exchange (SR-CBOE-2005-69) to delete certain Exchange rules, or portions thereof, which have been determined by the Exchange to be obsolete or unnecessary has become effective immediately under Section 19(b)(3)(A) of the Securities Exchange Act of 1934. (Rel. 34-52824) The Options Clearing Corporation filed a proposed rule change (SR-OCC-2005-15) under Section 19(b)(3)(A) of the Securities Exchange Act. The proposed rule change, which was effective upon filing, authorizes OCC to reject all types of post-trade transactions when OCC determines, in its sole discretion, that the input regarding the adjustment or other transaction contains an error or omission.
