SEC NEWS DIGEST Issue 2005-205 October 25, 2005 COMMISSION ANNOUNCEMENTS COMMISSION MEETINGS OPEN MEETING – MONDAY, OCTOBER 31, 2005 – 10:00 A.M. An open meeting will be held on Monday, October 31, 2005, at 10:00 a.m., in the Auditorium, Room LL-002. The subject matter of the open meeting scheduled for Monday, October 31, 2005, will be as follows. The Commission will hear oral argument on an appeal by Dolphin & Bradbury, Inc. (“D & B”) and its part-owner and chairman, Robert J. Bradbury (together, “Respondents”), as well as the Division of Enforcement, from the decision of an administrative law judge. The law judge found that certain materials used by Respondents to market to investors long-term, non-taxable municipal bonds that were issued to finance the purchase of an office building and parking lot complex were materially misleading. D & B served as underwriter of the bond issue. The law judge found that, through their conduct in connection with the bond issue, Respondents willfully violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Municipal Securities Rulemaking Board Rule G-17, and that D & B willfully violated, and Bradbury willfully aided and abetted and caused D & B’s violation of, Exchange Act Section 15B(c)(1). The law judge ordered D & B and Bradbury to cease and desist from committing or causing violations of the provisions they were found to have violated; jointly and severally to disgorge $482,562.50, plus prejudgment interest; and to pay civil penalties of $400,000 and $82,000 respectively. The law judge rejected the Division’s request that he create a fund for the benefit of investors into which the disgorgement and civil penalties would be paid, which is the only aspect of the decision the Division has appealed. Among the issues likely to be argued are whether Respondents violated antifraud provisions in offering and selling the bonds, and, if so, whether and to what extent sanctions should be imposed on Respondents. ENFORCEMENT PROCEEDINGS INFORMATION ARCHITECTS CORPORATION PROCEEDING DISMISSED On October 25, the administrative proceeding against Information Architects Corporation was dismissed by the presiding administrative law judge. The charges concerned irregularities in the required periodic reports filed during 2004 by Information Architects Corporation. The law judge found that Information Architects violated reporting requirements but in the particular circumstances of this case, no sanction was necessary. These circumstances included the fact that Information Architects had believed that the reports it filed in 2004 were accurate, that it subsequently recognized and corrected the irregularities, and that it remained compliant in 2005. (Initial Decision No. 299; File No. 3-11822) BRIAN CARROLL SANCTIONED Brian Carroll has been barred from association with a broker-dealer and from participating in an offering of penny stock and ordered to cease and desist from violations of the antifraud provisions of the securities laws. The sanctions were ordered in an administrative proceeding before an administrative law judge. Carroll’s wrongdoing occurred in connection with the securities of Americom Networks International, Inc., while he was associated with Preston Langley Asset Management, a broker-dealer. He and others at Preston Langley used fraudulent means to sell Americom stock to customers at inflated prices. Their practices included high pressure sales tactics, a “no net selling” policy, unauthorized purchases in customer accounts, false claims of inside information, and predictions about Americom’s future stock price based on misrepresentations and omissions. Carroll has also been convicted of securities fraud in a parallel criminal proceeding arising out of the same facts at issue in the administrative proceeding. He was sentenced to three years probation and ordered to pay $586,630 in restitution. (Rels. 33-8630; 34-52662; File No. 3-10624) REVOCATION OF REGISTRATION OF SECURITIES OF WESTERN UNITED HOLDING COMPANY The Securities and Exchange Commission announced the revocation of the registration of the preferred stock of Western United Holding Company (Western United) of Spokane, Wash., registered with the Commission pursuant to Section 12 of the Exchange Act. The revocation becomes effective as of 9:30 a.m. on Oct. 25, 2005, pursuant to Section 12(j) of the Securities Exchange Act of 1934. In its Order revoking the registration of the preferred stock of Western United, the Commission found that Western United failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder by failing to file timely its annual reports on Form 10K since December 2003 and its quarterly reports on Form 10-Q for any fiscal period subsequent to its fiscal quarter ending June 30, 2003. Without admitting or denying the Commission’s findings, Western United consented to an order revoking the registration of its preferred stock. The Commission cautions broker dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, Section 12(j) provides, in pertinent part, as follows: No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked pursuant to the preceding sentence. (Rel. 34-52661; File No. 3-12091) FEDERAL JUDGE FINDS DEFENDANT RANDALL TREADWELL IN CIVIL CONTEMPT OF COURT FOR THE SECOND TIME On October 17, U.S. District Judge Thomas J. Whelan in San Diego issued an order finding defendant Randall T. Treadwell, age 47, of Savannah, Ga., to be in civil contempt. The court found that Treadwell violated the court’s preliminary injunction orders enjoining him from future securities laws violations and freezing his assets by withdrawing funds from a bank account, offering and selling unregistered securities for an entity called The Diamond Development Group, LLP, and making false representations regarding Diamond Development. This is the second such civil contempt order issued by the court against Treadwell. The court’s latest civil contempt order provides that Treadwell must pay $43,037 to cover Treadwell’s withdrawals from a bank account in violation of the court’s asset freeze order, and that a bench warrant shall be issued for Treadwell if he does not pay those funds by 5:00 p.m. on Monday, October 24. In addition, the court’s order provides that Treadwell will be remanded to the custody of the United States Marshal’s Service if he fails to purge himself of contempt. The court further ordered that Treadwell’s criminal bond issued in the case entitled United States of America v. Randall T. Treadwell, et al., Case No. 05CR1570, shall be modified to make compliance with the preliminary injunction orders a condition of his pretrial release based on the court’s finding that Treadwell is a danger to the public by continuing to offer and sell unregistered securities. On Oct. 12, 2004, the Commission filed a complaint against Treadwell, Rick D. Sluder, Larry C. Saturday, Arnulfo M. Acosta, and Learn Waterhouse, Inc., alleging that they had raised millions from 1700 investors in a nationwide Ponzi scheme. On Nov. 1, 2004, Thomas Lennon was appointed as the permanent receiver over Learn Waterhouse. The court also ordered the defendants to repatriate all assets from abroad, and issued a preliminary injunction prohibiting all of the defendants from future violations of the antifraud and registration provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. On Feb. 23, 2005, the court issued its first order finding Treadwell in civil contempt. Treadwell is the former chairman, president and chief operating officer of Learn Waterhouse, a Texas corporation, which allegedly operated a fictitious prime bank trading program. In addition to the relief already obtained, the Commission seeks permanent injunctions, disgorgement and civil penalties from all of the defendants. [SEC v. Learn Waterhouse, Inc.; Randall T. Cal.] (LR-19442) SELF REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES The American Stock Exchange filed a proposed rule change (SR-Amex-2005- 093) under Section 19(b)(1) of the Exchange Act that will eliminate Rule 891 relating to qualifications for transfer agents of listed companies.
