SEC NEWS DIGEST Issue 2005-146 August 2, 2005 COMMISSION ANNOUNCEMENTS SEC ADVISORY COMMITTEE ON SMALLER PUBLIC COMPANIES SOLICITS PUBLIC INPUT ON WAYS TO IMPROVE THE CURRENT REGULATORY SYSTEM FOR SMALLER COMPANIES The SEC Advisory Committee on Smaller Public Companies today published a series of questions to solicit public input from investors and companies on ways to improve the current regulatory system for smaller companies and to examine the impact of the Sarbanes-Oxley Act of 2002. At the Committee’s request, the SEC is posting the Committee’s questions on the SEC Web site at http://www.sec.gov/cgi-bin/acspc-questions and also publishing a release containing the questions. Interested parties are encouraged to respond by Aug. 31, 2005, either on the SEC’s Web site or by sending responses in the manner outlined in the Web site posting and the release. The Committee will consider this information in making its recommendations. “The Committee has done an outstanding job identifying vital areas for discussion and potential enhancement of the regulatory framework for smaller public companies,” said SEC Acting Chairman Cynthia A. Glassman. “While these are the Committee’s questions to assist their work, the Commission strongly supports the Committee’s efforts.” Division of Corporation Finance Director Alan L. Beller said, “The Committee is committed to enhancing the regulatory environment for smaller public companies. Seeking public input from all interested participants is an important step in that process.” The SEC established the Advisory Committee in December 2004 to examine the impact of federal securities laws on smaller public companies, with a view to assuring that the costs and burdens of regulation are commensurate with the benefits to investors and the public. FROM PRACTICE UNDER RULE 102(e) FOR HIS ROLE IN ACCOUNTING FRAUD On August 1, the Commission instituted and simultaneously settled an administrative proceeding pursuant to Rule 102(e) of the Commission’s Rules of Practice against Robert Korkuc, the former chief accounting officer of Symbol Technologies, Inc. and a certified public accountant licensed to practice in the State of New York. Without admitting or denying the Commission’s findings, Korkuc consented to a Commission order suspending him from appearing or practicing before the Commission as an accountant. The administrative proceeding was based on the entry of a partial final judgment against Korkuc on May 11, 2005 by the Honorable Leonard D. Wexler of the United States District Court for the Eastern District of New York, in the action entitled SEC v. Robert Korkuc, 03 CV 3017 (LDW). Korkuc consented, without admitting or denying the allegations in the Commission’s complaint, to the entry of the partial final judgment that bars him from serving as an officer and director of a public company and permanently enjoins him from violating Section 17(a) of the Securities Act of 1933, Sections 10(b), 13(a), 13(b)(2), 13(b)(5) of the Securities Exchange Act of 1934, and Exchange Act Rules 10b-5, 13b2-1 and 13b2-2, 12b-20, 13a-1 and 13a-13. In its complaint, filed on June 19, 2003, the Commission alleged that Korkuc employed a number of improper accounting practices that violated generally accepted accounting principles while engaged in a fraudulent scheme to manipulate Symbol’s reported financial results. Robert Korkuc, 03 CV 3017, LDW, EDNY] (Rels. 34-52185; LR- 19319; AAER-2286: File No. 3-12000) JEFFREY PITTSBURG BARRED FROM ASSOCIATION WITH ANY BROKER OR DEALER On August 1, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions against Jeffrey L. Pittsburg. The Commission’s Order was based on the entry of a final judgment, dated July 20, 2005, by the Honorable Stephen V. Wilson, United States District Judge for the Central District of California, which, among other things, enjoined Pittsburg from violating the antifraud provisions of the federal securities laws. Pittsburg consented to the entry of the final judgment. See LR-19308 (July 21, 2005). The Commission’s complaint alleged manipulation of the securities of Stan Lee Media, Inc. (SLM), from Oct. 2, 2000, through Nov. 24, 2000. The complaint alleged that Pittsburg, who holds various securities licenses and was an officer of Pittsburg Institutional, Inc., a registered broker-dealer, together with a co-founder of SLM, Peter F. Paul, and SLM officer Stephen M. Gordon, engaged in a scheme to maintain and control the price of SLM’s stock at artificially inflated levels by, among other things, creating a false and misleading appearance of active trading. The Order bars Pittsburg from association with any broker or dealer. Pittsburg consented to the issuance of the Order without admitting or denying any of the Commission’s findings, with the exception of the Commission’s jurisdiction and entry of the final judgment by consent. (Rel. 34-52186; File No. 3-12001) COMMISSION INSTITUTES SETTLED ADMINISTRATIVE PROCEEDINGS AGAINST CHAUNCEY STEELE On August 2, the Commission instituted a settled administrative proceeding against Chauncey D. Steele of Wesley Chapel, Fla., pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act based on the entry of an injunction in the civil action SEC v. Chauncey D. Steele, et. al., Civil Action No. 3:04-CV-1331, in the United States District Court for the District of Connecticut. In the civil injunctive action, the Commission’s complaint alleged that Steele, along with five other current or former brokers and an executive of Competitive Technologies, Inc. (CTT), manipulated the price of CTT stock. Steele, formerly a registered representative associated with Prudential Securities, Inc. in its Hyannis, Mass., branch office, consented to the entry of an injunction without admitting or denying the Commission’s allegations. Steele submitted an Offer of Settlement in which, while neither admitting nor denying the Commission’s findings, he consented to the entry of an order barring him from association with any broker, dealer or investment adviser. On July 11, 2005, in an action brought by the Commission, the United States District Court for the District of Connecticut entered a Final Judgment of Permanent Injunction enjoining Steele from violating Sections 9(a), 10(b) and 17(a) of the Exchange Act and Rules 10b-5 and 17a-3 thereunder, and Section 17(a) of the Securities Act of 1933 and ordering Steele to pay disgorgement of $47,439, plus prejudgment interest thereon, and a civil penalty of $110,000, pursuant to Section 21(d)(3) of the Exchange Act and Section 20(d) of the Securities Act. The Commission’s complaint alleged that from at least July 1998 to June 2001, Steele orchestrated a scheme to manipulate and inflate the price of CTT stock. The complaint alleged that Steele and other defendants artificially raised and maintained the price of CTT’ s stock and created a false or misleading appearance with respect to the market for CTT stock through manipulative practices such as placing buy orders at or near the close of the market in order to inflate the reported closing price (a practice known as "marking the close"), placing successive buy orders in small amounts at increasing prices (a practice known as "painting the tape"), and using accounts they controlled or serviced to place pre-arranged buy and sell orders in virtually identical amounts (a practice known as "matched trades") and to place other buy orders intended to minimize the negative impact on CTT’s price from sales of the stock.
