SEC NEWS DIGEST Issue 2005-121 June 24, 2005 COMMISSION ANNOUNCEMENTS COMMISSION TEMPORARILY SUSPENDS TRADING IN THE SECURITIES OF BUSYBOX.COM, INC. The Commission announced the temporary suspension of trading of the securities of Busybox.com, Inc. (Busybox) of Century City, California, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act). The trading suspension is effective at 9:30 a.m. EDT on June 24, 2005, and will terminate at 11:59 p.m. EDT on July 8, 2005. The Commission temporarily suspended trading in the securities of Busybox because of a lack of current and accurate information concerning the company’s securities resulting from the company’s failure to file periodic reports with the Commission since the period ending Sept. 30, 2000. The Commission cautions brokers, dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not he has complied with the rule, he should not enter any quotation but immediately contact the staff of the Securities and Exchange Commission in Washington, D.C. If any broker or dealer is uncertain as to what is required by Rule 15c2- 11, he should refrain from entering quotations relating to Busybox’s securities until such time as he has familiarized himself with the rule and is certain that all of its provisions have been met. (Rel. 34-51919) ENFORCEMENT PROCEEDINGS IN THE MATTER OF RAYMOND BRAUN, JR. On June 23, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions (Order) against Raymond L. Braun, Jr., of New York, New York. The Order finds that Braun was permanently enjoined, by consent, from future violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, based on the entry of a Final Judgment entered against him on June 8, 2005, in the United States District Court for the Eastern District of Pennsylvania, in a civil action entitled Securities and Exchange Commission v. Raymond L. Braun, Jr., et al., Civil Action No. 05-1833. Without admitting or denying the Commission’s findings, Braun consented to the sanctions imposed by the Order. The Order finds that, from August 2002 until April 2004, Braun was the manager of the New York office of Fiserv Securities, Inc. (Fiserv), a broker-dealer registered with the Commission. The Commission’s complaint alleged that Braun, while employed in Fiserv’s New York office, known as the “New York Market Timing Office,” engaged in a deceptive scheme to defraud mutual fund shareholders. Braun, along with other Fiserv employees, implemented a series of deceptive acts and practices for the purpose of prolonging Fiserv’s customers’ ability to market time in funds that he knew prohibited market timing. The complaint also alleged that Braun instructed other Fiserv employees to make false statements to the funds about the nature of the market timing trades. Based on the above, the Order bars Braun from association with any broker or dealer, with the right to reapply for association after three years to the appropriate self-regulatory organization, or if there is none, to the Commission. (Rel. 34-51914; File No. 3-11961) COMMISSION INSTITUTES ADMINISTRATIVE PROCEEDINGS AGAINST BUSYBOX.COM, INC. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On June 24, the Commission instituted public administrative proceedings against Busybox.com, Inc. (Busybox) to determine whether to revoke the registration of each class of its securities registered pursuant to Section 12 of the Exchange Act of 1934 (Exchange Act). In the order instituting administrative proceedings against Busybox, the Division of Enforcement alleges that Busybox registered its securities pursuant to Section 12 of the Exchange Act. The Division also alleges that Exchange Act Section 13(a), and the Rules 13a-1 and 13a-13 promulgated thereunder, require issuers with classes of securities registered pursuant to Exchange Act Section 12 to file with the Commission current and accurate information in periodic reports. The Division further alleges that Busybox is delinquent in its required periodic filings with the Commission, having last filed a periodic report for the period ending Sept. 30, 2000. A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the Order Instituting Proceedings are true, to provide Busybox an opportunity to dispute these allegations, and to determine whether it is necessary and appropriate for the protection of investors to revoke the registration of each class of Busybox’s securities registered pursuant to Section 12 of the Exchange Act. Pursuant to the Commission’s Rules of Practice, an initial decision will be issued by the administrative law judge within 120 days from the service of the Order Instituting Proceedings. (Rel. 34-51918; File No. 3-11962) COMMISSION SANCTIONS ROBERT ARMSTRONG, III The Commission has sanctioned Robert W. Armstrong, III, formerly vice president and controller of National Medical Care, Inc. (NMC), a former subsidiary of W.R. Grace & Co. (Grace). The Commission found Armstrong liable for his role in a scheme to manipulate Grace's reported earnings to achieve predetermined targets. The Commission found that the scheme involved allocating a portion of NMC's income to a reserve account in 1991 and 1992 and then using the reserves to inflate falsely and materially Grace's stated income in 1993, 1994, and the first quarter of 1995. The Commission found that the purpose of the scheme was to create publicly-filed financial statements that deceived analysts and investors by portraying Grace's rate of income growth as steadier than in reality and as consistent with analyst expectations. The Commission found that Armstrong willfully violated Section 10(b) of the Securities Exchange Act of 1934 and Exchange Act Rule 10b-5 by committing deceptive acts as part of this scheme to defraud. The Commission found further that Armstrong was a cause of violations of Exchange Act Section 10(b) and Rule 10b-5. The Commission also found that Armstrong was a cause of Grace's violations of the periodic reporting requirements contained in Exchange Act Section 13(a) and Exchange Act Rules 12b-20, 13a-1, and 13a-13. The Commission also found that Armstrong was a cause of Grace's violations of the recordkeeping requirements contained in Exchange Act Sections 13(b)(2)(A) and 13(b)(5) and Exchange Act Rule 13b2-1, and that Armstrong violated Exchange Act Rule 13b2-1. The Commission found that it had the ability to deny Armstrong the privilege of appearing or practicing before it pursuant to Rule 102(e)(1)(iii) of the Commission's Rules of Practice based on Armstrong's willful violations of the securities laws. The Commission rejected Armstrong's contention that it could only discipline individuals pursuant to Rule 102(e) if those individuals appeared or practiced before the Commission while committing their willful violations of the securities laws, and held further that Armstrong in fact appeared or practiced before the Commission while willfully violating the securities laws. The Commission also held that its authority to discipline individuals under Rule 102(e)(1)(iii) was not limited to persons licensed to practice as accountants. The Commission imposed an order that Armstrong cease and desist from committing or causing any violations or future violations of Section 10(b) of the Securities Exchange Act of 1934 and Rules 10b-5 and 13b2-1 thereunder and from causing any violations or future violations of Sections 13(a), 13(b)(2), and 13(b)(5) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder. The Commission determined, as an exercise of its equitable discretion, not to impose any suspension pursuant to Rule 102(e)(1)(iii) in light of the unique circumstances of the case. (Rel. 34-51920; AAE Rel. 2264; File No. 3-9793) COMMISSION INSTITUTES SETTLED ADMINISTRATIVE PROCEEDING AGAINST DANIEL HEATH On June 24, the Commission instituted a settled administrative proceeding against Daniel William Heath, formerly of Chino Hills, California, pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934 based on the entry of an injunction in the civil action entitled SEC v. D. W. Heath & Associates, Inc., et al., Civil Action Number CV 04- 02949 JFW (Ex), in the U.S. District Court for the Central District of California. Heath consented to the entry of the injunction without admitting or denying the Commission’s allegations. Heath submitted an Offer of Settlement in which, while neither admitting nor denying the Commission's findings, he consented to the entry of an order barring him from association with any broker or dealer. On May 25, 2005, in an action brought by the Commission, the United States District Court for the Central District of California entered a final judgment of permanent injunction enjoining Heath from violating the securities registration provisions of Sections 5(a) and 5(c) of the Securities Act, the antifraud provisions of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and the broker-dealer registration provisions of Section 15(a) of the Exchange Act. The Commission’s first amended complaint alleged that Heath was a sales agent of D.W. Heath & Associates, Inc., which acted as an unregistered broker-dealer offering and selling securities in the form of corporate notes of Private Capital Management, Inc. and the PCM Fixed Income Fund I, LLC (collectively “PCM Notes”). The first amended complaint alleged that Heath, acting with and through Heath & Associates, Private Capital Management and the PCM Fixed Income Fund engaged in the unregistered offer and sale of more than $69.9 million in PCM Notes. The Commission’s first amended complaint also alleged that Heath made material misrepresentations to prospective investors concerning the use of investor proceeds and the due diligence he had conducted prior to recommending the investment to prospective investors. The Commission’s first amended complaint further alleged that Heath knowingly failed to disclose to investors commissions received by him and other sales agents. The Commission acknowledges the assistance of the Riverside County District Attorney’s Office in the investigation of this matter. (Rel. 34-51922; File No. 3-11963) JAMES HARROLD SENTENCED TO 78 MONTHS IN PRISON AND ORDERED TO PAY RESTITUTION OF APPROXIMATELY $3.6 MILLION The Commission announced that, in a criminal case prosecuted by the U.S. Attorney’s Office for the Southern District of Indiana, on May 20, 2005, James R. Harrold, 61, formerly of Indianapolis, Indiana was sentenced to 78 months in prison.. The sentencing in the U.S. District Court for the Southern District of Indiana in Indianapolis followed Harrold’s guilty plea to 16 counts of mail fraud, two counts of wire fraud, seven counts of interstate transportation securities acquired by fraud, and four counts of money laundering. The court also ordered Harrold to pay restitution of approximately $3.6 million, and imposed three years of supervised release after Harrold completes his prison term. The guilty plea followed Harrold’s indictment on charges stemming from a prime bank scheme, in which Harrold solicited groups of people to invest in an investment program, in which their funds would ultimately end up in a so-called prime prime bank debenture instrument that would generate a monthly profit of 20%. Rather than make the promised investments, Harrold utilized the investors’ funds to pay personal and business expenses, and to repay principal and the purported 20% interest to investors who liquidated their investments. In a related civil case brought by the Commission on Sept. 7, 2001, the Commission filed a complaint alleging that Harrold and various entities (Entity Defendants) through which he operated had violated the registration and antifraud provisions of the federal securities laws by operating a prime bank scheme. On the same day, the court entered a Temporary Restraining Order freezing three accounts controlled by Harrold and, on Sept. 10, 2001, the court entered an order freezing all of the defendants’ assets. On Sept. 14, 2001, Harrold and the Entity Defendants consented to the entry of an Order of Permanent Injunction, which continued the asset freeze and enjoined them from engaging in violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b- 5 thereunder. Harrold and the Entity Defendants consented to the entry of the permanent injunction without admitting or denying the allegations of the complaint. On Oct. 19, 2001, the court appointed a receiver to take possession of the defendants’ assets. Shortly thereafter, Harrold fled to Belize, where he was arrested on Nov. 9, 2004, on charges of having fraudulently acquired a Belizean passport. Harrold, USDC, SD Indiana, Case No. IP 04-CR-0185-01] (LR-19282) SEC BRINGS EMERGENCY ACTION AGAINST JON HANKINS, TENET ASSET MANAGEMENT, LLC, AND TENET CAPITAL PARTNERS CONVERTIBLE OPPORTUNITIES FUND, LP. The Commission announced that on June 22, 2005, it filed an emergency enforcement action to halt fraudulent conduct concerning a hedge fund, Tenet Capital Partners Convertible Opportunities Fund, LP (Convertible Opportunities Fund), its investment adviser, Tenet Asset Management, LLC (Tenet) and Tenet’s principal, Jon E. Hankins (Hankins) (collectively, the Defendants). Also on June 22, 2005, the court granted the Commission’s application for a temporary restraining order which included, among other things, the appointment of a temporary receiver over the Convertible Opportunities Fund and Tenet. The complaint alleges that the Convertible Opportunities Fund, Tenet, and Hankins concealed, and are continuing to conceal, from investors large investment losses and are seeking to unfairly honor a redemption request at inflated values to cover up the fraud. In particular, Hankins and Tenet have recently made numerous false statements to investors of the Convertible Opportunities Fund, as well as to investors in another hedge fund managed by Tenet and Hankins, Tenet Offshore Capital Partners Ltd. (Offshore Capital Partners) (collectively, the Funds). The complaint also alleges that within the last four months, in an effort to raise new capital for the Funds, Hankins met with investors and made false representations concerning Tenet’s investment strategy and the Funds’ performance. Hankins also provided investors with deceptive and false marketing materials that, among other things, grossly misrepresented the performance of the Convertible Opportunities Fund during the period April through December 2004. While the marketing materials for the Convertible Opportunities Fund reflected a gain of more than 32% during that period, the Convertible Opportunities Fund’s audited financial statements for that period reflect that the fund returned a 24% loss during the period. In addition, as recently as May 25, 2005, Hankins distributed to at least one investor altered audited financial statements for 2004 for the Convertible Opportunities Fund. The altered 2004 audited financial statements: (a) concealed the fund’s reported $1.4 million net loss in 2004; (b) falsely stated that the fund had net assets of $31.2 million when, in fact, it reported only $4.2 million; and (c) falsely stated that the fund earned 32.4% in investment returns when, in fact, it reported a 24.5% loss. The complaint further alleges that Defendants are also seeking to improperly distribute assets to cover up the fraud. Recently, to assuage the concerns of one investor, Hankins requested that the Funds’ prime broker redeem this investor’s funds from the Convertible Opportunities Fund’s account (a total of $3 million) at a level of redemption inconsistent with the losses incurred in the fund’s accounts. Although the prime broker has not acted on Hankins’ request, there is no guarantee that it will refrain from honoring future requests, nor is it obligated to do so. Moreover, Hankins’ recent request suggests that he may likely attempt to make additional, improper distribution requests, and by doing so, will leave empty-handed the last investors to seek a withdrawal. The complaint charges all the Defendants with violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The complaint further charges Hankins and Tenet with violating Sections 206(1) and 206(2) of the Investment Advisers Act. The Court granted, among other emergency relief, a temporary restraining order which included the appointment of a temporary receiver over the Convertible Opportunities Fund and Tenet. In its enforcement action, the Commission is seeking additional emergency relief, including orders enjoining the Defendants, preliminarily and permanently, from committing future violations of the foregoing federal securities laws, and a final judgment ordering the Defendants to disgorge ill-gotten gains, and assessing civil penalties. (Cinergy), a registered public utility holding company under the Act, authority to engage in various financing transactions through the earlier of (a) consummation of the pending merger between Cinergy and Duke Energy Corporation, and (b) the expiration of 12 months from the date of the Commission’s order in this matter granting and permitting to become effective the financing transactions proposed by Cinergy.
