(Rels. 33-8571; 34-51610; File No. 265-23) ENFORCEMENT PROCEEDINGS COMMISSION ORDERS HEARINGS ON REGISTRATION REVOCATION FOR EIGHT HIGH VOLUME DELINQUENT PINK SHEET COMPANIES FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS In conjunction with related trading suspensions, the Commission today instituted two separate public administrative proceedings to determine whether to revoke or suspend the registration of each class of the securities of eight companies for failure to make required periodic filings with the Commission: In the Matter of Affinity International Travel Systems, Inc., et al., Administrative Proceeding File No. 3-11913 In this matter, the Division of Enforcement alleges that Affinity International Travel Systems, Inc., BIFS Technologies Corp., Brandmakers, Inc., Consolidated General Corp. (f/k/a Java Group, Inc.), E-Rex, Inc., and IEMI are delinquent in their periodic filings with the Commission. The Division of Enforcement also alleges that these issuers represent some of the highest volume delinquent issuers quoted on the Pink Sheets. In the Matter of ePhone Telecom, Inc., et al., Administrative Proceeding File No. 3-11912 In this matter, the Division of Enforcement alleges that ePhone Telecom, Inc. and National Institute Companies of America, Inc. are both delinquent in their required periodic filings with the Commission. The Division of Enforcement also alleges that these issuers represent some of the highest volume delinquent issuers quoted on the Pink Sheets. In each of these proceedings, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At those hearings, the judge will hear evidence from the Division of Enforcement and the respondents to determine whether the allegations of the Division of Enforcement contained in the Orders, which the Division alleges constitute violations of Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, are true. The judge will then determine whether the registrations pursuant to Exchange Act Section 12 of the securities of these respondents should be revoked, or in the alternative, suspended for a period not exceeding twelve months. (Rel. 34-51618; File Nos. 3-11912 and 3-11913) CIVIL ACTION AGAINST BIO-HEAL LABORATORIES, INC., ET AL. On April 25, the Commission filed an emergency civil action in the U.S. District Court for the Southern District of Florida against Bio-Heal Laboratories, Inc. (Bio-Heal) in connection with its fraudulent issuance of Bio-Heal stock, and to recover approximately $10 million in proceeds generated from the sale of the illegally issued shares. The Commission’s complaint alleges that Bio-Heal is a publicly-held company quoted on the Over-The-Counter Pink Sheets that claims to develop topical natural healing products in Nicaragua. The complaint alleges that in February 2005, Bio-Heal issued 12 million shares of its stock to Relief Defendants MRMG Holdings (MRMG), Kess Associates, Inc. (Kess) and ICOR, Inc. These shares were issued without a restrictive legend based on an attorney opinion letter claiming that the 12 million shares were exempt from registration with the Commission pursuant to Rule 504 of Regulation D of the Securities Act. According to the complaint, Bio-Heal is subject to the reporting requirements of Section 13 of the Exchange Act and, therefore, is not entitled to use Rule 504 of Regulation D as an exemption from registration. The complaint further alleges that the attorney opinion letter is a fraud and that the telephone and facsimile numbers on it actually belong to a legal aid service which does not employ the attorney providing the opinion letter, nor does it furnish securities opinion letters. The complaint alleges that MRMG and Kess transferred their Bio-Heal shares to two other Relief Defendants located offshore, Bela Enterprises, LLC, and Gibson Island Enterprises, LLC, who reaped more than $10 million in profits by dumping Bio-Heal shares while the stock was being touted to investors through the Internet. On April 8, 2005, the Commission suspended trading in Bio-Heal stock. The Commission filed its action to permanently restrain and enjoin Bio-Heal from continuing to illegally issue its shares and to restrain and enjoin Relief Defendants from trading in these illegal shares. The Commission’s complaint charges Bio-Heal with violations of Sections 5(a) and 5(c) of the Securities Act of 1933 and violations of Sections 10(b) and 13(a) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Court entered a temporary restraining order against Bio- Heal, and an order freezing assets and a repatriation order against Bio- Heal and the Relief Defendants. [SEC v. Fla.] (LR-19203) FREDERICK DAVID JONES SETTLES INSIDER TRADING CHARGES The Commission announced that on April 21, the Honorable Robert W. Sweet, U.S. District Judge for the Southern District of New York signed the Final Judgment of Permanent Injunction and Other Relief against Defendant, Frederick David Jones. The Final Judgment, entered with Jones’ consent, enjoins him from violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Exchange Act Rule 10b-5. In addition to injunctive relief, the Final Judgment orders Jones to pay disgorgement in the amount of $52,750, plus prejudgment interest in the amount of $16,996 and a civil penalty in the amount of $79,125. The Final Judgment was entered in an action that the Commission previously had brought against Jones and Mark Godden for engaging in insider trading in the stock of Gerber Scientific, Inc. Frederick David Jones and Mark Godden, Civil Action No.1:04-CV-4385, SDNY] (LR-19204) SEC CHARGES FORMER GOOD GUYS DIRECTOR WITH INSIDER TRADING The Commission today filed insider trading charges against a former member of the board of directors of Good Guys, Inc., who bought stock in 2003 based on the non-public information that Good Guys was going to merge with CompUSA, Inc. The Commission alleges that former director John E. Martin of Irvine, California, began buying Good Guys stock during the merger negotiations, then netted nearly $75,000 in illegal profits by selling the shares after news of the merger boosted Good Guys’ stock price. Without admitting or denying the allegations, Martin has agreed to settle the enforcement proceeding by paying approximately $150,000 in disgorgement, prejudgment interest, and civil money penalties and agreeing to a five-year bar from serving as an officer or director of a public company. According to the civil complaint filed by the Commission in the U.S. District Court for the Central District of California, Martin was summoned to a special meeting of the Good Guys board in early August 2003. On Aug. 5, 2003, Martin purchased 100,000 shares of Good Guys stock on margin. Hours later, Martin participated in a board meeting concerning the potential acquisition of the company by CompUSA. The board members, including Martin, continued to discuss the merger during August and September 2003, and Martin purchased several thousand additional shares of Good Guys stock during this time. When the company later announced the news of the merger on September 29, 2003, Good Guys’ stock price rose 33% to $2.00 per share. Shortly thereafter, Martin sold his Good Guys holdings, realizing an illicit profit of $73,625. Martin also failed to file the required forms publicly reporting his purchases and sales of Good Guys stock. The Commission’s lawsuit charges Martin with trading on the basis of material, nonpublic information in violation of the antifraud provisions of the federal securities laws. It also alleges that Martin, as a director of the company, failed to file with the Commission Form 4s reflecting his transactions in Good Guys. Under the settlement, Martin will pay $76,360.52 in disgorgement and prejudgment interest, and a $73,625 civil penalty. In addition, the judgment enjoins Martin from violating Sections 10(b) and 16(a) of the Exchange Act and Rules 10b-5 and 16a-3(g)(1) thereunder. Finally, Martin has agreed to a five-year prohibition from acting as an officer or director of any public company. Martin agreed to settle the Commission’s action without admitting or denying the allegations. The Commission acknowledges the assistance of the National Association of Securities Dealers (NASD) in this matter. [SEC v. John E. Martin, Case No. SACV05-383 DOC (ANx)] (LR-19205) SEC SETTLES PRIME BANK CASE AGAINST P. THOMAS MANN, RDC FUNDING CORP., RDC DEVELOPMENT CO., AND PTM INVESTMENT CORP. The Commission announced today that on April 19 the Honorable William L. Osteen, U.S. District Judge for the Middle District of North Carolina, entered final judgments by consent imposing disgorgement and full injunctive relief against P. Thomas Mann and three entities he controls, RDC Funding Corporation, RDC Development Company and PTM Investment Corporation. The Commission’s Second Amended Complaint, which was filed on Aug. 30, 2002, alleges that Mann, along with previously settled defendants Patrick Wilson and Jeffrey Salazar, solicited individuals to invest in a prime bank scheme involving a $100 million bond offering issued by RDC Funding. According to the complaint, Mann and others falsely represented to investors that the bond deal would generate revenue through overnight trading in U.S. securities and that investors would receive $10 million for every $1 million invested. Without admitting or denying the allegations in the complaint, Mann and the entities he controls each consented to the entry of a Final Judgment permanently enjoining them from future violations of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Mann has consented to pay $144,000 in disgorgement. Based upon their demonstrated inability to pay, neither Mann nor the three entities were ordered to pay a civil penalty and the remainder of the disgorgement amount was waived. RDC Funding was ordered to assign its interest in a lawsuit arising from the bond deal to a court appointed receiver. The receiver will distribute any proceeds derived from the suit along with other funds collected during the litigation to the defrauded investors.
