FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On January 19, the Securities and Exchange Commission announced the temporary suspension of trading of the securities of Safe Transportation Systems, Inc. (SFTS), commencing at 9:30 a.m. EDT on January 19, and terminating at 11:59 p.m. EDT on Feb. 1, 2006. The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of the companies that have been subject to trading suspensions until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. (Rel. 34-53140) ENFORCEMENT PROCEEDINGS JB OXFORD HOLDINGS, INC. SETTLES ADMINISTRATIVE FRAUD CHARGES STEMMING FROM ITS PARTICIPATION IN A LATE TRADING AND MARKET TIMING SCHEME On January 18, the Commission announced the issuance of an Order Instituting Administrative Proceedings Pursuant to Section 21C of the Securities Exchange Act of 1934, Making Findings and Imposing A Cease- And-Desist Order against JB Oxford Holdings, Inc. (JBOH). The Commission's Order finds that JBOH, a Beverly Hills, California-based holding company and National Clearing Corporation (NCC), one of JBOH's wholly-owned subsidiaries, were involved in a late trading and market timing scheme facilitated through NCC and its officers and employees. The Order finds that from June 2002 until September 2003, NCC and its officers (including its former president and chief executive officer who was also the president and chief operating officer of JBOH) and employees facilitated thousands of late trades in several hundred mutual funds on behalf of several NCC customers. The Order also finds that these NCC officers and employees also utilized various methods to conceal certain of its institutional customers' fraudulent market timing activity from the mutual funds. The Commission further found that JBOH prepared its financial statements on a consolidated basis, which included revenues and other financial information of NCC. As a result, in 2002 through 2003, JBOH's consolidated financial statements included over $1 million in gross revenue that NCC received from compensation arrangements with its mutual fund customers. JBOH did not admit or deny the Commission's findings. Based on the above, the Order requires Respondent JBOH to cease and desist from committing or causing any violations and any future violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder; and refrain, for a period of five years, from having a controlling interest in or operating a firm engaged in the broker dealer clearing business. After the five-year period, if JBOH seeks to conduct any clearing business relating to broker dealers, or to obtain a controlling interest in or operate any such clearing business, JBOH agrees to retain an independent consultant not unacceptable to the Commission staff to review the policies and procedures of the clearing business to ensure compliance with the federal securities laws. COMMISSION REMANDS NYSE DISCIPLINARY ACTION AGAINST EDWARD MCCARTHY On January 18, the Commission remanded disciplinary action taken by the New York Stock Exchange, Inc. against Edward John McCarthy. At the time of the hearing, McCarthy was a floor broker and member of the NYSE. The NYSE found that McCarthy had an interest in an account maintained by the Oakford Corporation, a non-member firm, for which he effected transactions on the floor of the NYSE, exercised discretion with respect to the Oakford account, accorded that account preferential treatment, and failed to make and preserve required records. The NYSE censured McCarthy, imposed a $75,000 fine, and barred him for two years from membership and employment on the floor of the Exchange. The Commission sustained the disciplinary action taken by the NYSE, and McCarthy appealed the Commission's order. Although the Court of Appeals affirmed the Commission's findings that McCarthy violated the federal securities laws and NYSE rules, the Court vacated the portion of the Commission's order sustaining the two-year bar. The Commission has remanded the portion of the proceeding addressing the imposition of a two-year bar to the NYSE in order to "provide it an opportunity to explain further the findings and conclusions that support its chosen sanction." (Rel. 34-53138; File No. 3-10999) IN THE MATTER OF MICHAEL HEALEY On January 19, the Commission announced the issuance of an Order Instituting Administrative and Cease-and-Desist Proceedings Pursuant to Sections 15(b)(6) and 21C of the Securities Exchange Act of 1934 against Michael J. Healey. The Division of Enforcement alleges that Healey offered and sold securities in the form of notes and stock issued by Stansbury Holdings Corporation, while acting as an unregistered broker-dealer. A hearing will be scheduled before an administrative law judge to determine whether the allegations in the Order are true, to provide Healey with an opportunity to dispute the allegations, and to determine what, if any, remedial action is appropriate and in the public interest pursuant to Section 15(b) and 21C of the Exchange Act. The Order requires the Administrative Law Judge to issue an initial decision no later than 300 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. The Securities and Exchange Commission also filed civil fraud charges against Stansbury Holdings Corporation, a mining company, and two former officers, as well as aiding and abetting charges against the company's auditors. In the suit, filed in federal court in the District of Colorado, the Commission alleges that former chief executive officer Aldine J. Coffman, Jr. of Denver, Colorado; former chief financial officer Dennis R. Staal of Chadron, Nebraska; and Richard E. Sellers and Sellers & Associates P.C. of Henderson, Nevada, Stansbury's auditors, caused Stansbury to overstate its assets in numerous periodic filings and in offering documents. (Rel. 34-53144; File No. 3-12150) COMMISSION DISMISSES APPEAL OF ACTION TAKEN BY NASD AGAINST ELLIOT HERSHBERG On January 19, the Commission dismissed Elliot M. Hershberg's appeal of action taken by NASD barring him from associating with any NASD member firm in any capacity. NASD found that Hershberg violated NASD Procedural Rule 8210 and Conduct Rule 2110 by failing to provide requested testimony. The Commission found that the specific grounds for NASD's finding of violations, Hershberg's failure to testify, existed in fact, and that NASD acted in accordance with its rules in making this determination. The Commission found further that NASD applied its rules in a manner consistent with the purposes of the Exchange Act in deciding to bar Hershberg for his misconduct. The Commission dismissed Hershberg's appeal in accordance with these findings. (Rel. 34-53145; File No. 3-11864) COMMISSION INSTITUTES PROCEEDINGS AGAINST SAFE TRANSPORTATION SYSTEMS, INC. On January 19, in conjunction with a related trading suspension, the Commission instituted public administrative proceedings to determine whether to revoke or suspend the registration of each class of the securities of Safe Transportation Systems, Inc. (SFTS) for failure to make required periodic filings with the Commission. The Division of Enforcement alleges that SFTS is delinquent in their required periodic filings with the Commission. The Division of Enforcement also alleges that the common stock of SFTS is quoted on the Pink Sheets. In this proceeding, instituted pursuant to Section 12(j) of the Securities Exchange Act of 1934, a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division of Enforcement and the respondent to determine whether the allegations of the Division of Enforcement contained in the Order, which the Division alleges constitute violations of Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, are true. The judge will then determine whether the registrations pursuant to Exchange Act Section 12 of the securities of the respondent should be revoked, or in the alternative, suspended for a period not exceeding twelve months.
