SEC NEWS DIGEST Issue 2006-08 January 12, 2006 COMMISSION ANNOUNCEMENTS SUSAN FERRIS WYDERKO DESIGNATED AS ACTING DIRECTOR OF THE DIVISION OF INVESTMENT MANAGEMENT Securities and Exchange Commission Chairman Christopher Cox today announced the selection of Susan Ferris Wyderko as the Acting Director of the Commission's Division of Investment Management, which oversees mutual funds and investment advisers. A 20-year veteran of the SEC, Ms. Wyderko has served as the Director of the Office of Investor Education and Assistance since March 2000. In that position she is principally responsible for the Commission's outreach to individual investors, ensuring that their problems and concerns are known throughout the Commission and considered when the agency takes action. Chairman Cox said, "Susan's dedication to the interests of individual investors is unmatched, which is especially vital considering more than half of American households own mutual funds. I am delighted that she has agreed to serve as Acting Director during this interim period." Ms. Wyderko has held several senior positions within the agency, including Director of the Office of Legislative Affairs and Acting Director of Public Affairs. She previously served as a Counsel to Chairman Arthur Levitt and as an Assistant General Counsel at the Commission with responsibility for filing Commission briefs with the Courts of Appeals and the Supreme Court. From 1993 to 1995 she was an Assistant Chief Litigation Counsel for the Division of Enforcement at the Commission. She earlier headed the Commission's Rule 2(e) program of disciplinary proceedings against professionals who practice before the Commission. Before coming to the Commission she was an associate with the Washington, D.C., law firm of Miller & Chevalier, Chartered. Ms. Wyderko is a graduate of Wellesley College and Cornell Law School. Geraldine Walsh, Deputy Director of the Office of Investor Education and Assistance, will serve as Acting Director of the Office while Ms. Wyderko is assigned to the Investment Management Division. (Press Rel. 2006-08) ENFORCEMENT PROCEEDINGS IN THE MATTER OF PEGASUS SATELLITE COMMUNICATIONS, INC. AND PEGASUS MEDIA & COMMUNICATIONS, INC. On January 11, the Commission issued a Cease-and-Desist Order against Pegasus Satellite Communications, Inc. (PSC) and Pegasus Media & Communications, Inc. (PM&C) (collectively "Respondents"), two entities that operated a satellite television business with customers in certain rural areas of the United States. The Order finds that respondents inflated their publicly reported subscriber counts in press releases and in quarterly and year-end filings made with the Commission for periods from at least 1999 through the end of 2001. According to the Commission's Order, during at least 1999 through 2001, Respondents knowingly or recklessly implemented certain adjustments to inflate the number of active subscribers to their satellite television services as reported in their public filings. Personnel associated with the Respondents overrode features of the subscriber billing system that would have deemed certain accounts to be inactive or de-activated (churned). They did so in at least two ways. First, Respondents "re-aged" certain accounts by extending them beyond the system authorized limit. This was done by manual intervention that overrode the automatic system cut-off features. In addition, Respondents kept certain accounts out of the churn category by assigning penny-credits to otherwise churned accounts. By these means, the Respondents added to their so-called "no-core" accounts- which were accounts that did not receive standard television packages and remained active as part of the publicly reported subscriber count. PSC and PM&C typically reported the inflated subscriber numbers at or near the end of quarterly or annual reporting periods. The Commission's Order found that, as a result of this conduct, PSC violated Section 17(a) of the Securities Act of 1933, Sections 10(b), 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Securities Exchange Act of 1934 ("Exchange Act") and Rules l0b-5, 12b-20, 13a-1, 13a-13 and 13b2- 1 thereunder. The Order found that, for its part, PM&C violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Without admitting or denying the Commission's findings, PSC and PM&C agreed to entry of the Commission Order requiring them to cease and desist from violations of the antifraud, reporting, books and records, and internal controls provisions of the federal securities laws. The respondents also agreed to an undertaking requiring them to cooperate with the Commission's continuing investigation. (Rels. 33-8653; 34- 53100; AAE Rel. 2362; File No. 3-12146) SEC FILES SETTLED INSIDER TRADING ACTION AGAINST FORMER GENERAL COUNSEL OF BIOGEN IDEC INC. The Commission filed a settled enforcement action today in U.S. District Court for the District of Massachusetts, charging Thomas J. Bucknum with insider trading in the stock of Biogen Idec Inc., a biotechnology company located in Cambridge, Massachusetts. Bucknum was Biogen's general counsel until he resigned in March 2005. The Commission's complaint alleges that on the morning of Feb.18, 2005, Bucknum told his broker that he wanted to exercise options to purchase 89,700 shares of Biogen stock and sell those shares. The broker understood from that conversation that Bucknum wanted to sell the shares at a price of $68 per share or better. Biogen's trading policies required that Biogen's legal department had to approve Bucknum's trade and Bucknum's broker therefore proceeded to contact Biogen for the necessary clearance before making the trade. Meanwhile, at approximately noon that day, Bucknum attended a meeting at which he learned material, non-public information that was likely to have a negative impact on Biogen's stock price. Specifically, Bucknum learned that a patient participating in a clinical trial of Biogen's multiple sclerosis drug, Tysabri, had been diagnosed with progressive multifocal leukoencephalopathy (PML), a rare and often-fatal brain disease, and that another patient participating in a Tysabri clinical trial had an unconfirmed PML diagnosis. The Commission's complaint alleges that, after the noon meeting, at approximately 1:30 p.m., Bucknum had a second conversation with his broker's associate during which Bucknum instructed the associate to proceed with the sale of his 89,700 shares at the market price, which was then around $67 per share. Bucknum's shares were sold shortly thereafter. According to the Commission's complaint, ten days later, prior to the opening of the market on Feb. 28, 2005, Biogen and its development partner announced that they were suspending the marketing of Tysabri because of the confirmed and unconfirmed PML diagnoses. Biogen's stock price had closed at $67.28 per share on the previous day. On the day of the announcement, Biogen's stock price closed at $38.65 per share. This was a decline of $28.63 per share, or more than 42%. By selling shares of Biogen stock before the stock price fell, Bucknum reaped a substantial profit. The Commission's complaint charges Bucknum with violations of the anti-fraud provisions of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b- 5 thereunder, based on his illegal insider trading. The Commission's complaint alleges that Bucknum breached a fiduciary duty he owed to Biogen and its shareholders when he sold Biogen stock while in possession of material, non-public information concerning the confirmed and unconfirmed PML diagnoses. To settle the Commission's charges, Bucknum has consented, without admitting or denying the allegations in the Commission's complaint, to the entry of a final judgment permanently enjoining him from committing future violations of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Bucknum also has agreed to pay disgorgement in the amount of $1,938,465, pre-judgment interest thereon in the amount of $102,005, and a civil penalty of $969,232, for a total payment of $3,009,720. Finally, Bucknum will be prohibited from acting as an officer or director of any publicly-traded company for a period of five (5) years from the date of the entry of the judgment. [SEC v. Thomas J.
