SEC NEWS DIGEST Issue 2006-185 September 25, 2006 COMMISSION ANNOUNCEMENTS SEC TO REBUILD PUBLIC DISCLOSURE SYSTEM TO MAKE IT 'INTERACTIVE' Agency Invests $54 Million in Three Contracts Toward Transformation of EDGAR Database U.S. Securities and Exchange Commission Chairman Christopher Cox announced today that the SEC has awarded three separate contracts totaling $54 million to transform the agency's 1980s-vintage public company disclosure system from a form-based electronic filing cabinet to a dynamic real-time search tool with interactive capabilities. The major investment in an "interactive data" system signals the agency's commitment to move away from the model of its current EDGAR database. It also presages widespread adoption of interactive data filing by companies that report their financial information to the SEC - a development that until now has only been a voluntary pilot program. By moving to interactive data using the XBRL computer language, the SEC will be joining the FDIC, the Federal Reserve, and the Comptroller of the Currency, which already require banks to use it. For the last year, approximately 8,200 U.S. financial institutions have been using XBRL to submit their quarterly Call Reports to U.S. banking regulators. To date the SEC has not required companies to file their information in interactive format, largely because the XBRL labels haven't all been completed, and because the SEC's own database - nicknamed EDGAR - can't yet utilize the extra capabilities of XBRL. The three contracts announced today will close that gap, paving the way for universal XBRL filings by companies. "Today's announcement demonstrates the Commission's firm commitment to interactive data and represents a significant milestone on the road to achieving that goal," said SEC Chairman Christopher Cox. "The new system will make it easier both to file information with the Commission, and to use it. For investors and analysts, it will represent a quantum leap over existing disclosure technologies. For companies, it will mean easier and less costly compliance with SEC requirements." The contracts announced today are: 1) Modernize and Maintain the EDGAR Database to Use Interactive Data - $48 million The Commission today announced it has awarded a $48 million contract to Keane Federal Systems, Inc., a McLean, Virginia-based subsidiary of NYSE-listed Keane, Inc., to modernize and maintain the Commission's EDGAR database. As part of its SEC contract, Keane will partner with other technology firms, including Bearingpoint, Microsoft, Rivet Software, EMC, and Akamai, to address the needs of the SEC and investors. The existing EDGAR system is already one of the largest U.S. government presences on the Internet, and plays a vital role in providing public disclosure about tens of thousands of corporate securities issuers, investment companies, and individuals. Over 700,000 documents and data sets are filed on the system each year. But while it is computer-based, it does little to take advantage of the power of today's office and home computers. The information EDGAR stores is locked in essentially the same kinds of forms that the SEC has used for 72 years, since it first introduced Form A-1 for securities registration in 1934. Information is hard to find unless one knows which form to search. Even then, the data on the forms must be re-keyed before it can be downloaded into spreadsheets or other applications software. Because of these limitations, many firms, institutions and individuals who need EDGAR data purchase it from third-party preparers, who use automated systems to read the forms and put their information in usable form. This process, and to an even greater extent the process of re-keying, introduces errors into the data. The $48 million contract announced today, which took effect yesterday, will transform and modernize EDGAR, while also ensuring the continuity of ongoing operations and maintenance. The initial contract term is three years; the contract may be extended for up to three additional one-year terms. The $48 million estimate, which covers the full six year period, represents a reduction in the Commission's costs for operations and maintenance. This figure does not, however, include the further costs of task orders that it is anticipated will be added to the new contract to complete the transformation of the old EDGAR into the new XBRL-capable system over the next year. The new system will be completely interactive. Using interactive data technologies such as XBRL (Extensible Business Reporting Language) and XML (Extensible Markup Language), it will allow investors and analysts to search not only forms, but the information within them. It will permit information to be immediately downloaded into applications software. And it will enable anyone to get real-time, streaming data using RSS feeds, ATOM, and other automated Web tools, which could automatically search for newly filed SEC disclosures and deliver the desired data directly to one's desktop. 2) Complete XBRL Code Writing for U.S. GAAP Financial Statements - $5.5 million The Commission is announcing its commitment of $5.5 million to complete the writing of XBRL "taxonomies," or computer labels, so that companies in all industries can file their financial reports. The SEC is contracting with XBRL US, Inc., which is responsible for development of the computer standard in America. It is anticipated that the work will be completed in less than a year. Taxonomies for many industries are already completed, but a decisive move from static to interactive data requires that the job of writing computer codes to "tag" financial report information be completed for all U.S. GAAP-based filers. When this work is finished, every item in a company's financial statement, such as net income or gross sales, will be assigned a unique computer-readable label. With these labels in place, the data that companies file with the SEC can then be immediately used to analyze and compare any aspect of a company's financial performance. At the same time, the task of preparing the reports can be automated for the companies who file them. Once the work contemplated by this contract is complete, every public company in America will be able to make its required disclosures to the Commission more accurately and more quickly-and as software applications are developed, the investors in those companies will find it easier to understand that information. 3) Interactive Data Tools for Investors - $500,000 The Commission announced today that it has awarded two separate contracts to Rivet Software and Wall Street on Demand, leaders in interactive data software development, to provide a new generation of "interactive" investor tools on the SEC's website, www.sec.gov. Using the new features, investors will be able not only to view but to analyze companies' financials that are filed in XBRL. These new features will be available directly within the SEC web site. Investors will be liberated from tedious hunt-and-guess searches, and they'll be able to download not just SEC forms but specific data within those forms. Users will also be relieved of having to re-key data to make it useful in software applications, or having to pay others to translate the data to more usable formats. The software tools the Commission is purchasing will be available to the public free of charge. With this step, the Commission hopes to accelerate the development of ever-more sophisticated software applications to unleash the power of interactive data. (Press Rel. 2006-158) U.S. SECURITIES AND EXCHANGE COMMISSION CHAIRMAN COX APPOINTS MIKE HALLORAN DEPUTY CHIEF OF STAFF AND COUNSELOR TO THE CHAIRMAN Halloran, Senior Corporate and Securities Attorney, Joins Commission from Pillsbury Winthrop Shaw Pittman U.S. Securities and Exchange Commission Chairman Christopher Cox today announced the appointment of Michael J. Halloran as Deputy Chief of Staff and Counselor to the Chairman. "Mike brings a wealth of practical experience and substantive knowledge to the Commission, and will use his multiple talents to help protect America's investors and promote more competitive capital markets," said Chairman Cox. "The SEC has an exceptionally talented staff, at headquarters and across the nation, and Mike will certainly enhance that reputation," he added. Mr. Halloran is currently the Senior Partner of the 250-attorney Corporate and Securities worldwide practice group at Pillsbury Winthrop Shaw Pittman LLP. During his 32-year career with Pillsbury, Mr. Halloran founded and led Pillsbury's Washington, D.C., office from 1979 to 1983. In his long tenure with Pillsbury, he has represented public and private issuers and boards of directors, investment banks and funds, in multiple industries. From 1990 to 1996, Mr. Halloran served as Group Executive Vice President and General Counsel for BankAmerica Corporation, and was the company's chief worldwide legal officer in charge of 200 attorneys. As Deputy Chief of Staff and Counselor to the Chairman, Mr. Halloran will advise the Chairman on the entirety of the Commission's program to promote investor protection, healthy markets, and capital formation. Mr. Halloran will work closely with the Chief of Staff to assist the Chairman in overall management of the Commission. "I am deeply honored to be asked by Chairman Cox to serve him in this role," Mr. Halloran said. "I look forward to working on the important challenges of responding to the needs of investors and issuers and fostering our capital markets and efficient access to capital. The SEC is widely recognized for having a very talented staff, and I will be privileged to work with them." Mr. Halloran is the past president of the Board of Directors at Boalt Hall School of Law at the University of California, Berkeley. He is a former member of the NYSE Legal Advisory Committee, and past chair of several American Bar Association committees relating to securities and corporate matters. He earned an LL.B. from Boalt Hall School of Law in 1965, and a B.S. in mechanical engineering from U.C. Berkeley in 1962. He is the lead author and editor of Venture Capital and Public Offering Negotiation, a leading text on formation of venture capital funds, making venture investments, and taking companies public. (Press Rel. 2006- 159) COMMISSION ANNOUNCES INTERACTIVE DATA ROUNDTABLE ON NEW SOFTWARE TO MAKE BETTER INFORMATION A REALITY The Securities and Exchange Commission announced today that the second in the series of interactive data roundtables will be held on Tuesday, October 3, from 3:00 to 5:00 p.m., e.d.t., with an address by Indra Nooyi, incoming CEO of PepsiCo, Inc. PepsiCo is among the public companies voluntarily testing the new financial reporting technology, known as interactive data. This roundtable will focus on new software to make better information a reality by using interactive data to provide investor-friendly research tools. Presenters will demonstrate a sample of currently available software and panelists will discuss how interactive data enabled software can assist investors. In March the Commission announced that it planned to hold a series of roundtables at its headquarters in Washington, D.C., focusing on speeding the implementation of new Internet tools that will help provide investors and analysts with better financial information about companies and funds. The first roundtable in the series was held on June 12, 2006. The morning session of that roundtable focused on improving the quality of mutual fund disclosures and technology to provide mutual fund investors with better information. The afternoon session covered what investors and analysts are looking for in interactive data and how to accelerate the use of new software that permits the dissemination of interactive financial data. A subsequent roundtable discussion relating to preparers using interactive data will be held later in the winter. "Interactive data will transform disclosure by giving investors faster access to information that they can easily use. It will liberate investors from having to laboriously undertake manual searches and painstakingly re-key data into electronic spreadsheets, or pay someone else to do it," said SEC Chairman Christopher Cox. "We look forward to discussing ways that new software can be made available so that all investors can view and analyze interactive data on the Internet." (Press Rel. 2006-160) ENFORCEMENT PROCEEDINGS COMMISSION CHARGES JEFFREY DUNHAM AND DUNHAM ENTITIES FOR REGISTRATION VIOLATIONS, IMPOSES SANCTIONS, AND ORDERS FIRM TO REVIEW POLICIES AND PROCEDURES On September 22, the Commission sanctioned Jeffrey A. Dunham, of Del Mar, Calif., and his company Dunham & Associates Investment Counsel, Inc. (DAIC), an investment adviser and broker dealer located in San Diego, Calif., for violating the investment company and securities registration provisions of the federal securities laws by improperly soliciting over $350 million in investments in thirteen unregistered investment funds. Also named as respondents in the settled administrative and cease-and- desist proceeding are DAIC's related entities, Dunham & Associates Holdings, Inc. (Dunham Holdings), Dunham Trust Company (DTC), Dunham & Associates Securities, Inc. (Dunham Securities), and Asset Managers, Inc. (Asset Managers) (collectively, Respondents). As part of its settlement, DAIC agreed to retain an independent consultant to review its policies and procedures relating to compliance with the federal securities laws. The Commission's order finds that from August 1999 to November 2004, Respondents used a "common trust fund" to publicly offer and sell investments in thirteen unregistered funds as a purported alternative to registered mutual funds. The respondents structured the common trust fund and the other thirteen funds in an unsuccessful attempt to avoid the regulatory and registration requirements of the federal securities laws. As of Dec. 31, 2003, nearly 1700 investors had invested over $350 million in the common trust fund, which invested exclusively in the thirteen unregistered funds. The amounts invested in the common trust fund included 748 IRAs with $128.7 million invested. The investors who invested with these entities did not receive fundamental investment information to which they were entitled under the federal securities laws. A common trust fund is generally a pool of funds maintained by a bank (or trust company) exclusively for investment by the bank in its fiduciary capacity on behalf its clients. Under certain conditions, common trust funds do not have to register under the Investment Company Act or the Securities Act. Generally, these conditions are designed to ensure that common trust funds are used by a bank, in its fiduciary capacity, solely as an aid to administer its fiduciary clients' accounts and not as a separate investment vehicle. Here, the Respondents improperly used a common trust fund as a separate investment vehicle for unsophisticated investors to invest in the Respondents' unregistered funds. Accordingly, the Commission's order finds that the common trust fund and eleven of the thirteen unregistered funds operated as unregistered investment companies, in violation of the federal securities laws. In addition, the order finds that the offer and sale of the common trust fund's securities and the securities of the other thirteen funds should have been registered. The Commission's order (1) requires Dunham, Dunham Holdings, DAIC, DTC, and Dunham Securities to cease and desist from committing and/or causing any violations and any future violations of the investment company registration provisions of Section 7(a) of the Investment Company Act, (2) requires all Respondents to cease and desist from committing or causing any violations and any future violations of the securities registration provisions of Sections 5(a) and 5(c) of the Securities Act, (3) censures DAIC and Dunham, and (4) orders DAIC and Dunham to pay civil penalties of $150,000 and $50,000, respectively. The Commission's order also directs DAIC to retain an independent consultant to conduct a comprehensive review of DAIC's policies and procedures with respect to compliance with the Investment Company Act and the Securities Act, including the operation and marketing of the common trust fund and the other thirteen funds. Respondents consented to the issuance of the order without admitting or denying the Commission's findings. On September 25, the Commission filed a settled administrative and cease-and-desist order against Richard P. Poirier, Jr., finding Mr. Poirier violated Section 17(a) of the Securities Act, Sections 10(b) and 15B(c)(1) of the Exchange Act, Rule 10b-5 thereunder, and Rules G- 17 and G-20 of the Municipal Securities Rulemaking Board in connection with a 1992 bond offering issued by Fulton County, Georgia. The Commission ordered Mr. Poirier to be barred from association with any broker, dealer, or municipal securities dealer, and to cease and desist from committing or causing any violations and any future violations of the statutory provisions noted above. Poirier consented to the issuance of the Order without admitting or denying any of the findings in the Order. On Nov. 20, 1997, the SEC filed a civil injunctive action against Michael S. deVegter, James E. Eaton, and Richard P. Poirier, Jr. See Litigation Release No. 15565 (Nov. 20, 1997). Mr. Eaton simultaneously settled his action with the SEC. On May 5, 1998, the SEC dismissed its civil injunctive action against Mr. deVegter and Mr. Poirier without prejudice. On Dec. 22, 2005, Mr. deVegter settled his action with the SEC in an administrative cease-and-desist proceeding. See Securities and Exchange Act Release No. 34-53009. Pursuant to Mr. deVegter's settlement, the Commission dismissed - as to Mr. deVegter only - its civil injunctive action with prejudice.
