Welcome to the homepage for the FCC's Review of AT&T Corporation's and Tele-Communications, Inc.'s proposed transfer of control.

On September 14, 1998, AT&T Corporation (AT&T) and Tele-Communications, Inc. (TCI) filed joint applications under Section 310(d) of the Communications Act, 47 U.S.C. Section 310(d), requesting Commission approval of the transfer of control to AT&T of licenses and authorizations controlled by TCI or its affiliates or subsidiaries. This transfer of control would take place as the result of a proposed merger of AT&T and TCI. After the proposed merger, TCI would become a wholly owned subsidiary of AT&T, and the licenses and authorizations currently held by the affiliates or subsidiaries of TCI would continue to be held by those entities.

The Commission concluded that, as amended, the trust agreement between Tele-Communications, Inc. (TCI) and AT&T Corp. concerning transfer of ownership of TCI's Sprint PCS tracking stock complies with applicable Commission rules and with specific requirements. Approved the trust agreement, adopted March 5, 1999 by Order (DA No. 99-466), as announced in the March 8, 1999 Daily Digest.
