SIFMA files amicus brief defending junior underwriters

May 6, 2009: On behalf of its members, SIFMA filed an amicus brief which opposed the lead plaintiff’s legal theory that junior underwriters cannot assert a due diligence defense where they relied upon the lead underwriters in the syndicate, who performed exhaustive due diligence on behalf of the syndicate as a whole. If adopted, SIFMA warned, plaintiffs’ theory would offer no additional investor protection, but would simply result in smaller and less diverse underwriting syndicates.
