ORDER TERMINATING ORDER TO CEASE AND DESIST

   The Federal Deposit Insurance Corporation ("FDIC") and the Kentucky Department of Financial Institutions ("KDFI") hereby issue this ORDER TERMINATING ORDER TO CEASE AND DESIST ("TERMINATION ORDER"), terminating all provisions of the Order to Cease and Desist jointly entered on August 5, 2002, against the Peoples State Bank, Hodgenville, Kentucky ("Bank"), pursuant to section 8(b) of the Federal Deposit Insurance Act, 12 U.S.C. §1818(b). In support of this TERMINATION ORDER, the FDIC and the KDFI find that the Bank ceased to exist as a legal entity on June 16, 2003, by virtue of a merger with and into Citizens Union Bank of Shelbyville, Inc., with Citizens Union Bank of Shelbyville, Inc. as the resulting bank, and thereafter named as such.

   IT IS HEREBY ORDERED, that the Order to Cease and Desist entered against Peoples State Bank, Hodgenville, Kentucky, on August 5, 2002, be, and hereby is, terminated.

   Pursuant to delegated authority.
