ORDER OF PARTIAL
TERMINATION OF ORDER TO
CEASE AND DESIST

   IT IS HEREBY ORDERED, that the ORDER TO CEASE AND DESIST issued against Grafton State Bank, Grafton, Wisconsin ("Bank"), and Ralph L. Zaun, individually, pursuant to section 8(b) of the Federal Deposit Insurance Act, 12 U.S.C. § 1818(b), on January 22, 1988, be, and hereby is, terminated as to the Bank only. All provisions of said ORDER TO CEASE AND DESIST of January 22, 1988 shall continue and remain in full force and effect as to the individual Respondent, Ralph L. Zaun.
   Dated at Chicago, Illinois, this day of June, 1991.
