MODIFICATION OF ORDER
TO CEASE AND DESIST

   Paragraph 2(j) is added and incorporated into the ORDER TO CEASE AND DESIST ("ORDER") issued to the Omnibank of Mantee, Mantee, Mississippi ("Bank") by the Federal Deposit Insurance Corporation ("FDIC") on November 7, 1990, and hereby reads as follows:
   2. * * *
   (j). The Bank hereby agrees that it will not lend funds directly or indirectly, whether secured or unsecured, to any purchaser of Bank stock or investor by other means, for any portion of the increase in equity capital required herein.
   The provisions of the MODIFICATION OF ORDER TO CEASE AND DESIST shall be binding upon the Bank, its subsidiaries, affiliates, directors, officers, employees, agents, successors, assigns, and other institution-affiliated parties of the Bank.
