RECOMMENDED DECISION AND ORDER APPROVING PROPOSED SETTLEMENT
AGREEMENT
                   

     Upon consideration of the proposed settlement agreement,
filed May 30, 1995 by the parties, and it appearing that the
agreement, incorporated herein by reference, is fair, adequate and
reasonable in its provisions; and it further appearing that the
parties have filed a motion for dismissal of the complaint with
prejudice; it is hereby

     RECOMMENDED that (1) the settlement agreement be approved  for
implementation in accordance with its terms and (2) the complaint
be dismissed with prejudice.  It is

     RECOMMENDED that it be so ordered.
