                           DECISION AND ORDER

     This matter arises under the Surface Transportation
Assistance Act of 1982 (STAA), 49 U.S. C. app. §2305, and
the applicable regulations 29 C.F.R. §1978.100-1978.111.
     The matter was assigned to the undersigned Administrative
Law Judge and scheduled for trial on November 8-9, 1994  .  A
full trial was conducted and evidence introduced.  At the
conclusion of the trial the parties were ordered to file proposed
findings of fact and conclusions of law on or before January 10,
1995.  Prior to said date and before the issuance of a Decision
and order by the undersigned, the parties filed a fully executed
Settlement Agreement and General Release.
     The Settlement Agreement and General Release provides that
this matter is settled pursuant to the terms contained therein,
and is incorporated herein by reference.
     Having considered the proposed settlement and the terms
contained therein with full knowledge of the conflict of evidence
and testimony presented at the trial, I find that the terms of
the settlement are fair, adequate, reasonable and constitute an
equitable settlement of the matter.  Accordingly, the matter is
hereby ordered dismissed in its entirety with prejudice upon
