Chairman Cox, I have recently learned that the SEC is considering a proposal to restrict or eliminate investor advisory resolutions under Rule 14a-8. As an investor with holdings in a variety of companies, I value these advisory resolutions. I think they can help warn managers when they are running a company improperly or in a way that is harmful to the public. Historically, these resolutions have ensured greater accountability and better governance. I expect them to be even more effective in the future. I urge you to drop whatever plans you have to restrict or eliminate these advisory resolutions. They are needed. Sincerely, Randy Schutt
