DRAFT EDGAR TA-2 XML Technical Specification (Version 4.2.1)

This DRAFT EDGAR TA-2 XML Technical Specification (Version 4.2.1), posted before Commission approval of potential regulatory changes in this release, is provided as a service to our filing community to assist filers, agents, and software developers prepare for potential changes the staff anticipates. Since this is a draft specification, the SEC retains the right to change any part of the specification before the new system release is made final. In addition, the final EDGAR TA-2 XML Technical Specification is subject to Commission approval and may be revised before approval or not approved at all. Similarly, the posting of the DRAFT EDGAR TA-2 XML Technical Specification (Version 4.2.1) does not indicate Commission approval of any pending proposed changes relating to the potential changes reflected in the draft specification. The changes outlined in this draft specification, if approved, are scheduled to take effect on September 15, 2008. The final version of the specification will be made available as and if approved by the Commission on or about September 15, 2008 on the SEC's Public Website.

The DRAFT EDGAR TA-2 XML Technical Specification (Version 4.2.1) provides, to those filers that are interested, a basis for creating XML TA-2 submissions without the use of the EDGAR OnlineForms/XML Website. The expectation is that software developers, working on behalf of filers, will construct software that will generate an XML TA-2 submission that can be successfully parsed by the EDGAR system.

EDGAR Release 9.13 introduces the following changes to the EDGARLite TA-2 Submission Template:

• Correction to the OMB expiration date displayed to be "September 30, 2009" when the "Check to show blank form for printing" option is selected on the printed blank Form TA-2 (Annual Report of Transfer Agent activities filed pursuant to the Securities Exchange Act of 1934). Previously, the expiration date displayed was September 30, 2006.

• Correction to the order the response fields are displayed for Form TA-2 Question 1(h) (Full Name of Registrant as stated in Question 3 of Form TA-1) and Question 3(a) (Registrants Appropriate Regulatory Agency) when the "Check to show blank form for printing" option is selected. Previously, the response fields were erroneously switched for these two questions.

• Form TA-2 Question 11(a)(i) (Date of Database Search) will be optional.

• Data fields on Form TA-2 that allow the entry of text were updated to accept only valid ASCII characters.
