Citadel - Disney
Timeline | Orders & Public Notices | Applications
The Walt Disney Company, its subsidiary ABC Chicago FM Radio, Inc. (ABC Radio), and Citadel Broadcasting Company (Citadel) have filed applications pursuant to Section 310(d) of the Communications Act of 1934, as amended, seeking Commission approval to transfer control of licenses and authorizations currently controlled by subsidiaries of both ABC Radio and Citadel to a new parent corporation. This transfer of control would take place as the result of a proposed spin-off of ABC Radio and the subsequent merger of ABC Radio and Citadel.
ABC Radio currently controls 24 broadcast radio licenses, while Citadel currently controls 223 broadcast radio licenses. The Walt Disney Company also controls other broadcast radio stations, as well as broadcast television stations, which are not a part of this transaction. After the merger of ABC Radio and Citadel, the shareholders of The Walt Disney Corporation will own a majority of the stock of the new corporation, while the current controlling shareholder of Citadel, Theodore J. Forstmann, will have de facto control.
