COMPLAINT FILED AGAINST SHANNON L. BALDINO FOR VIOLATING A COMMISSION ORDER

On March 17, 2005, the Commission filed a complaint in United States District Court in Las Vegas, Nevada to enforce an order issued by the Commission against Shannon L. Baldino of Henderson, Nevada in an administrative proceeding in which Baldino and Silverado Stock Transfer, Inc., the registered transfer agent she owned and operated, were respondents. Specifically, on May 11, 2004, the Commission issued a settled administrative order that, among other things, required Baldino to cease and desist from violations of statutes and rules under the Securities Exchange Act of 1934 applicable to registered transfer agents that require transfer agents to keep certain records, to file annual reports with the Commission, to respond to written inquiries and requests for account information received from issuer clients, and to maintain reasonable safeguards for funds and securities for each issue of securities for which they perform stock transfer functions. Among other things, the order required Baldino to pay a $25,000 civil penalty. In the Matter of Silverado Stock Transfer, Inc. and Shannon L. Baldino, Admin. Pro. File No. 3-11484. Baldino has failed to pay any of the $25,000 civil penalty. The Commission is seeking a federal court order compelling Baldino to pay the $25,000 penalty as previously ordered by the Commission.
