Sprint Nextel Corporation (“Sprint”) and Clearwire Corporation (“Clearwire") have filed a series of applications pursuant to Section 310(d) of the Communications Act of 1934, for authority to transfer control of certain licenses, authorizations, and de facto transfer spectrum leases held by Sprint, Clearwire and their subsidiaries to a new wireless broadband company also called Clearwire Corporation (“New Clearwire”). Sprint and Clearwire state that Sprint will own approximately 51%, subject to post-closing adjustments, of New Clearwire’s stock, with the remaining stock owned by Clearwire’s current shareholders, Google Inc., Comcast Corp., Time Warner Cable Inc., and Bright House Networks. New Clearwire, through various wholly-owned subsidiaries, will indirectly hold all of Sprint’s respective 2.5 GHz related assets, including Broadband Radio Service and Educational Broadband Service licenses and leases in the 2.5 GHz Band, point-to-point microwave stations, Local Multipoint Distribution Service ("LMDS") licenses, and Cable Television Relay Service (“CARS”) licenses.
