Donaldson What: Economic Club of New York Where: New York Hilton, New York City Contact: Campbell Kohl, (212) 947-7738 SEC ORDERS A SUSPENSION OF TRADING IN THE STOCK OF AQUA VIE BEVERAGE CORPORATION The Commission today announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act), of trading of the securities of Aqua Vie Beverage Corporation (Aqua Vie) (stock symbol AQVB) at 9:30 a.m. EDT, May 2, 2003 through 11:59 p.m. EDT, on May 15, 2003. The Commission temporarily suspended trading in the securities of Aqua Vie because of questions raised regarding the accuracy and completeness of information about Aqua Vie in fax broadcasts and on the Internet concerning, among other things, Aqua Vie's revenue projections and transactions in the securities of Aqua Vie by certain individuals or entities providing services to Aqua Vie. The Commission cautions brokers-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not it has complied with the rule, it should not enter any quotation but immediately contact the staff of the Securities and Exchange Commission in Washington, D.C. If any broker or dealer is uncertain as to what is required by Rule 15c2- 11, it should refrain from entering quotations relating to Aqua Vie securities until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. (Rel. 34-47783) RULES AND RELATED MATTERS SOLICITATION OF PUBLIC VIEWS REGARDING POSSIBLE CHANGES TO THE PROXY RULES On April 14, 2003, the Commission issued Press Release 2003-46 announcing that it has directed the Division of Corporation Finance to formulate possible changes in the proxy rules and regulations and their interpretations regarding procedures for the election of corporate directors. As stated in that press release, this review will address the following topics: * shareholder proposals; * the corporate director nomination process; * elections of directors; * the solicitation of proxies for director elections; * contests for corporate control; and * the disclosure and other requirements imposed on large shareholders and groups of shareholders. As part of this process, the Commission has asked the Division to consult with all interested parties, including representatives of pension funds, shareholder advocacy groups, and representatives from the business and legal communities. The Commission has requested that the Division provide its recommendations to the Commission by July 15 of this year. We solicit public views on the topics listed above to assist the Division in formulating its recommendations. We are not soliciting responses to or comments on a particular set of inquiries but will consider all communications received. (Press Rel. 2003-59) ENFORCEMENT PROCEEDINGS IN THE MATTER OF DAVID EDWARDS, JAMES EDWARDS, KEVIN LYNDS, AND GERALD STOCK An Administrative Law Judge has issued an Order Making Findings And Imposing Remedial Sanction By Default in the matter of David Edwards, James Edwards, Kevin Lynds, and Gerald J. Stock, finding the allegations in the Order Instituting Proceedings to be true and barring Respondents David Edwards and James Edwards from associating with any broker or dealer pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934. (Rel. 34-47777; File No. 3-11002) COMMISSION DENIES APPLICATION OF CLARENCE WURTS FOR EAJA FEES The Commission rejected Clarence Z. Wurts' application for fees under Section 504(a)(4) of the Equal Access to Justice Act (EAJA). That section provides that a party may seek attorneys' fees if an agency's "demand" is unreasonable when compared with the agency's decision in a proceeding, under the facts and circumstances of the case. In the underlying proceeding, the Commission found that Wurts had failed to supervise reasonably a registered representative, Michael Cohen, with a view to preventing Cohen's violations of the securities laws. The Commission found that Wurts' supervisory failures were substantially deficient and that his lapses of supervisory judgment were "extraordinary, almost to the point of recklessness." The Commission censured Wurts and suspended him from association in a supervisory capacity with a broker-dealer for six months. During the proceeding, the Division of Enforcement had filed a pre- hearing brief that requested a six-month suspension in all capacities and a supervisory and proprietary bar. In his EAJA application, Wurts argued that the Division's request had been unreasonable. The Commission rejected Wurts' assertion. The Commission stated that it had found that Wurts had engaged in a serious failure to supervise. The Commission also observed that the Division's request was consistent with sanctions the Commission had imposed in other litigated and settled cases for failures to supervise.
