An Administrative Law Judge has issued an Order Making Findings and Revoking Registration by Default (Default Order) in the matter of Active Link Communication, Inc. The Order Instituting Proceedings alleged that Respondent Active Link Communications, Inc., failed to comply with Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder by failing to file required periodic reports while its securities were registered with the Securities and Exchange Commission. The Default Order finds these allegations to be true and revokes the registration of each class of the securities of Active Link Communications, Inc. (Rel. 34-52053; File No. 3-11964) COMMISSION DECLARES DECISION AS TO MORGAN COOPER, INC. FINAL The decision of an administrative law judge with respect to Morgan Cooper, Inc. has become final. The law judge found that Morgan violated Section13(a) of the Securities Exchange Act of 1934, and Exchange Act Rules 13a-1 and 13a-13 by failing to file annual reports on Form 10-KSB and quarterly reports on Form 10-QSB for any fiscal period subsequent to its fiscal quarter ended Sept. 30, 2000. The law judge revoked the registration of the common stock of Morgan Cooper, Inc. (Rel. 34- 52057; File No. 3-11805) SEC SETTLES MARKET-TIMING CASE AGAINST FORMER OFFICER OF BROKER DEALER AFFILIATE OF AIM ADVISORS, INC. On July 18, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934, and Sections 9(b) and 9(f) of the Investment Company Act (Order) against Michael J. Cemo. Cemo is the former president, CEO and a director of AIM Distributors, Inc. (ADI), a Commission- registered broker-dealer based in Houston, Texas, which serves as the primary distributor and principal underwriter to the AIM mutual fund complex (AIM Funds). The Order finds that Cemo willfully aided and abetted and caused violations of the federal securities laws based on his role in authorizing or permitting market timing agreements, spanning January 2001 through September 2003, within certain portfolios of the AIM Funds. By authorizing or permitting the market timing, Cemo caused AIM Advisors, Inc. (AIM Advisors) to breach its fiduciary duty to AIM Funds. Additionally, the timing agreements contravened AIM Funds’ prospectus disclosures relating to market timing activities. On Oct. 8, 2004, the Commission authorized settled proceedings against AIM Advisors and ADI, wherein they consented to censures, agreed to cease and desist from violating the antifraud provisions of the Advisers Act and the reporting and joint transaction provisions of the Investment Company Act, and agreed to comply with sweeping undertakings. The entities also agreed to pay, jointly and severally, disgorgement of $20 million; further, AIM Advisors was ordered to pay a civil penalty of $25 million, and ADI, a civil penalty of $5 million. The Commission ordered Cemo: 1) to cease and desist from committing or causing any violations and any future violations of Section 206(2) of the Advisers Act and Sections 17(d) and 34(b) of the Investment Company Act and Rule 17d-1 thereunder; 2) to be suspended from association with a broker or dealer for nine months; 3) to be prohibited from serving or acting as an employee, officer, director, member of an advisory board, investment adviser or depositor of, or principal underwriter for, a registered investment company or affiliated person of such investment adviser, depositor or principal underwriter for nine months; and 4) to pay civil penalties in the amount of $125,000. Cemo consented to the issuance of the Order without admitting or denying the findings in the Order. On July 18, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order pursuant to Sections 203(f) and 203(k) of the Investment Advisers Act of 1940, and Sections 9(b) and 9(f) of the Investment Company Act of 1940 (Order) against Edgar M. IA-2406; IC-26992; File No. 3-11986) JOHN CARLEY INITIAL DECISION An Administrative Law Judge has issued an Initial Decision in the matter of John A. Carley. The Order Instituting Proceedings alleged that four officers of Starnet Communications International, Inc., enriched themselves by selling millions of dollars worth of Starnet stock without registering the sales as required by the federal securities laws and without making required disclosures concerning those sales. The violations occurred between 1998 and 2001. The OIP also alleged violations of the beneficial ownership reporting provisions of the federal securities laws. The Initial Decision concludes that John A. Carley and Christopher H. Zacharias violated, and Roy E. Gould, Eugene C. Geiger, and Thomas A. Kaufmann willfully violated Sections 5(a) and 5(c) of the Securities Act of 1933 between December 1998 and February 2001. The Initial Decision sustains, in part, the charge that Carley and Zacharias also violated Section 17(a) of the Securities Act, Section 10(b) of the Securities Exchange Act of 1934, and Exchange Act Rule 10b-5. The Initial Decision further concludes that Zacharias violated Section 16(a) of the Securities Exchange Act and Exchange Act Rule 16a-3 by failing to file a beneficial ownership report, and that Gould violated Section 15(a)(1) of the Exchange Act by acting as an unregistered broker. Finally, the Initial Decision concludes that Edward H. Price and Spencer Edwards, Inc., failed reasonably to supervise Geiger and Kaufmann, as required by Section 15(b) of the Exchange Act. The Initial Decision imposes cease-and-desist orders against Carley, Zacharias, Gould, Geiger, and Kaufmann for all proven violations. It also bars Gould, Geiger, and Kaufmann from associating with any broker or dealer; bars Price from acting as a supervisor with any broker or dealer; and censures Spencer Edwards. The Initial Decision orders Carley to disgorge $4,177,318.38; Zacharias, $1,451,128.55; Gould, $13,843,650.79; Spencer Edwards, $759,204.54; and Geiger and Kaufmann, $885,738.62, each. The Initial Decision orders prejudgment interest on all sums to be disgorged. The Initial Decision also imposes civil penalties of $500,000 against Gould; $400,000 against Geiger; $300,000 against Kaufmann; $200,000 against Spencer Edwards; and $150,000 against Price. It reduces the financial sanctions against Gould to $1,000,000 and Spencer Edwards to $25,000, in view of their demonstrated inability to pay. The OIP named eleven Respondents and the Initial Decision resolves the proceeding as to seven of them. One Respondent, Le Fond Mondial D’Investissement S.A., failed to answer the OIP and was the subject of a default order. The Commission has severed three Respondents, Alfred Peeper, Mark N. Dohlen, and Paul A. Giles, who have yet to be served with the OIP. The proceeding remains pending as to those Respondents. (Initial Decision No. 292; File No. 3-11626) SEC SUES FORMER OFFICERS OF i2 TECHNOLOGIES, INC. FOR SECURITIES FRAUD IN CONNECTION WITH IMPROPER REVENUE RECOGNITION On July 15, the Commission filed suit in Dallas federal court against three former senior officers of Dallas-based technology company i2 Technologies, Inc., charging them with securities fraud, insider trading and other federal securities law violations relating to alleged accounting improprieties involving i2’s materially misstated software license revenues. The individuals named in the Commission’s suit are Gregory Brady, i2’s former president and chief executive officer; William M. Beecher, i2’s former chief financial officer; and Reagan L. Lancaster, i2’s former executive vice president of worldwide sales, and later president of field operations. According to the complaint, for the four years ended Dec. 31, 2001, and the first three quarters of 2002, defendants intentionally or recklessly participated in a scheme to misstate approximately $1 billion of software license revenues, including over $125 million of revenues that should never have been recognized; to conceal from investors the true nature of certain reciprocal, or “barter,” transactions i2 entered into; and to hide grave customer problems i2 was experiencing. These matters were the subject of a settled enforcement action the Commission brought against i2 on June 9, 2004, in which i2 paid a $10 million civil penalty. See In the Matter of i2 Technologies, Inc., Lit. Rel. No. 18741 (June 9, 2004). The Commission further alleges that the defendants concealed these matters from the public, as well as from i2’s external auditors and the audit committee of i2’s board of directors, for fear that disclosing them would cause i2’s stock price to decline, thereby damaging defendants’ ability to exercise lucrative stock options. As alleged in the complaint, the defendants, on the basis of the material non-public information described above, violated insider trading rules by reaping tens of millions of dollars profit exercising options on, and selling, i2’s grossly inflated stock. In its action, the Commission is seeking against each defendant a permanent injunction, disgorgement of ill-gotten gains plus prejudgment interest, an officer and director bar and a civil money penalty.
