ENFORCEMENT PROCEEDINGS IN THE MATTER OF MICHAEL NEWMAN An Administrative Law Judge has issued an Order Making Findings of Fact and Imposing Remedial Sanction by Default (Default Order) in the matter of Michael Sydney Newman. The Order Instituting Proceedings alleged that on Feb. 3, 2004, the U.S. District Court for the District of Utah entered a final judgment of default against Respondent Michael Newman (Newman), permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder, barring Newman from participating in any offering of penny stock, and ordering Newman to pay disgorgement, prejudgment interest, and a civil penalty in amounts to be determined by further order. The Default Order finds these allegations to be true and bars Newman from association with any broker or dealer. (Rel. 34-51106; File No. 3-11630) COURT FINDS FIVE FLORIDA STOCK PROMOTERS COMMITTED SECURITIES FRAUD AND TOUTING VIOLATIONS; ISSUER’S FORMER PRESIDENT FOUND NOT LIABLE FOR FRAUD On Jan. 4, 2005, the U.S. District Court for the Southern District of Florida found five Florida stock promoters liable for securities fraud through their practice of "scalping" related to the stock of Dicom Imaging Systems, Inc. (formerly OTCBB: DCIM). Scalping is the practice of recommending the purchase of a stock to the general public while selling the stock at or near the same time. The court also found that the stock promoters committed touting violations by describing Dicom stock as an investment but failing to disclose all of the compensation that they received, and were entitled to receive under signed agreements, for doing so. The court further found that Dicom's former president, David Gane, D.D.S., of Atlanta, Georgia, was not liable for securities fraud violations. The court's decision followed the parties' summary judgment motions and a six-day bench trial. The five stock promoters are: * Jeffrey D. Welsh, age 53, of Atlanta, Georgia and formerly of Boca Raton, Florida. Welsh wrote and reviewed investment opinions about Dicom. * Southern Financial Services, Inc. (SFS), a now-defunct Florida financial consulting firm that was run by Welsh and that issued investment opinions. * Southern Waste, Inc., dba Strategic Investors Group (SIG), a now-defunct Florida financial public relations firm that was run by Welsh that issued investment opinions. * Charles T. Tamburello, age 31, of Weston, Florida. Tamburello wrote investment opinions about Dicom. * Capital Research Group, Inc. (CRG), a Florida investor relations firm run by Tamburello, which operates www.thesubway.com website. CRG issued investment opinions about Dicom. The court found that Dicom, through Gane, hired the stock promoters in June and November 1999 to tout Dicom's stock in return for compensation through signed agreements. Dicom and Gane supplied the stock promoters with Dicom's financial projections, which were placed into a due diligence package prepared by Welsh and SFS. The due diligence package was then reviewed by Gane and distributed to brokers and potential investors. Two of the promoters, Welsh and Tamburello, wrote investment opinions recommending Dicom stock. Welsh issued his investment opinions, and those that he approved, through SFS and SIG, while Tamburello issued his investment opinions through CRG. After issuing their favorable investment opinions, however, the stock promoters sold their Dicom shares. The court also found that the stock promoters failed to disclose all of the compensation they either received or were to receive under the agreements signed with Dicom and that they engaged in scalping. As a result, the court found that each of the stock promoters violated Sections 17(a) and 17(b) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The court also permanently enjoined SFS and SIG from future violations of those provisions of the federal securities laws, and it assessed a civil penalty against Welsh, Tamburello, and CRG of $500 each. Finally, the court found that, while Gane was “surely negligent” in connection with a material omission in the due diligence package, he did not act with “severe recklessness,” the applicable standard for scienter in the Eleventh Circuit, and therefore, Gane was not liable for securities fraud under Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Fla.] (LR-19058) SEC OBTAINS ORDER REQUIRING DEFENDANT RANDALL TREADWELL TO SHOW CAUSE WHY HE SHOULD NOT BE HELD IN CIVIL CONTEMPT The Commission announced that on Jan. 26, 2005, the Hon. Thomas J. Whelan, U.S. District Judge for the Southern District of California, issued an order to defendant Randall Treadwell to show cause why he should not be held in civil contempt for violating the court’s Nov. 1, 2004, and Oct. 12, 2004, orders. Treadwell is the former chairman, president and chief operating officer of Learn Waterhouse, Inc., which operated a fictitious prime bank trading program according to a complaint filed previously by the Commission. According to the Commission’s contempt application, Treadwell had: * Failed to provide an accounting and other financial information to the Commission as required by the court orders; * Failed to cooperate with the court-appointed receiver as required by the court orders; * Withdrawn more than $25,000 from a bank account that was subject to the court’s orders that froze all of the defendants’ assets; * Offered and sold new securities under the guise of a legal defense fund in violation of the court’s orders; and * Continued to make false representations regarding Learn Waterhouse and the securities that it had sold. The court ordered Treadwell to appear on Feb. 23, 2005, and show cause why an order of civil contempt should not be issued, why he should not be incarcerated, and why he should not be fined $1000 per day pending his compliance with the court’s orders. On Oct. 12, 2004, the Commission filed a complaint against Treadwell, Learn Waterhouse Inc., Rick D. Sluder, Larry C. Saturday, and Arnulfo M. Acosta alleging that they had raised more than $24 million from 1700 investors in a nationwide Ponzi scheme. The defendants claimed that their bank trading program generated investor returns ranging from 5% to 50% per month and that the investments were purportedly secured by a “pre-funded, cash-back instrument” that had been issued by a top U.S. bank. However, investor funds were being used to pay the returns and more than $2.5 million had been misappropriated by the defendants to support themselves and their other businesses. On Nov. 1, 2004, Thomas Lennon was appointed as the permanent receiver over Learn Waterhouse, Inc. and given authority over all of its assets. The court also ordered the defendants to repatriate all assets from abroad, and issued a preliminary injunction prohibiting all of the defendants from future violations of the antifraud and registration provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. In addition to the relief already obtained, the Commission seeks permanent injunctions, disgorgement and civil penalties from all of the defendants. [SEC v. Learn Waterhouse, Inc., Randall T.
