THIS NOTICE CONSTITUTES AMENDMENT NO.4 TO THE COMBINED SYNOPSIS/RFQ FOR LEASE PURCHASE OF TWO LATHE MILLING MACHINES. Companies shall acknowledge all amendment(s) in their quote. This notice serves as the official amendment to subject synopsis/RFQ and a written amendment will not be issued.

The purpose of this amendment is to (1) provide additional information regarding MSFC's position to lease/purchase equipment, (2) add an additional clause that will be included in the lease purchase agreement and (3) answer questions asked before the due date:

1. The Government will review the requirement for the equipment prior to the anniversary date of each lease renewal. The Government retains the unilateral right to discontinue the lease should the requirement be discontinued with no further payment due.

2. Clause 52.207-5, Option to Purchase Equipment is added to the soliciation and will be in the award in full text.

52.207-5 Option to Purchase Equipment (Feb 1995)

(a) The Government may purchase the equipment provided on a lease or rental basis under this contract. The Contracting Officer may exercise this option only by providing a unilateral modification to the Contractor. The effective date of the purchase will be specified in the unilateral modification and may be any time during the period of the contract, including any extensions thereto.

(b) Except for final payment and transfer of title to the Government, the lease or rental portion of the contract becomes complete and lease or rental charges shall be discontinued on the day immediately preceding the effective date of purchase specified in the unilateral modification required in paragraph (a) of this clause.

(c) The purchase conversion cost of the equipment shall be computed as of the effective date specified in the unilateral modification required in paragraph (a) of this clause, on the basis of the purchase price set forth in the contract, minus the total purchase option credits accumulated during the period of lease or rental, calculated by the formula contained elsewhere in this contract.

(d) The accumulated purchase option credits available to determine the purchase conversion cost will also include any credits accrued during a period of lease or rental of the equipment under any previous Government contract if the equipment has been on continuous lease or rental. The movement of equipment from one site to another site shall be "continuous rental."

3. Question: I'm a little confused about the title of the RFQ which reads "Lease Purchase of Two Lathe Milling Machines". In the description, the requested machine is a Horizontal Milling Machine. Is the Horizontal Milling Machine requested in the description, the right one?

Answer: Yes, the horizonal milling machine in the specifications is the right one. Both milling machines are to be horizonal.

Question: I am not familiar with the abbreviation "ATP" in the delivery. What does that mean?

Answer: Authority to proceed.

Question: Regarding #17 under the Description, is the onsite training you require 2 weeks total for both machines or two weeks for each machine?

Answer: Two weeks total. The Machines are identical.

Question:. I understand you want a 60 mo, $1.00 purchase option capital lease. Typically the monthly payments are made monthly, not annually. We do offer 90 day delayed payment options as well as seasonal skip payments. Would you please clarify the frequency of payments?

Answer: Payment shall be made annually on, or around, the anniversery date of the purchase. One payment will be made a year for a 5-year period.

2. Prior to documentation we would need: a. the names and titles of document signers b. the entity name that the lease will be in. c. physical address that equipment will be located at. d. signed credit application- form attached.

The due date for receipt of offers is not extended. Companies shall provide the information stated in the synopsis/RFQ posted on the NASA Acquisition Internet Service (NAIS) on 11/14/2008.
