SEC Filing Fees

Revised December 2007

SEC does not maintain a list of filing fees, per se; most fees are calculated.

Filing fees are required for filings made:

Pursuant to sections 6(b), 13(e), or 14(g) of the Securities Act of 1933 The fee is $39.30 per $1,000,000 (prorated for amounts less than $1,000,000). It is calculated by multiplying the aggregate offering amount by .00003930.
Transactional filings pursuant to the Securities Exchange Act of 1934 The fee is $39.30 per $1,000,000 (prorated for amounts less than $1,000,000). It is calculated by multiplying the aggregate offering amount by .00003930.

As of October 1, 2001, the SEC eliminated the filing fee under Section 307(b) of the Trust Indenture Act of 1939, which relates to T-3 filings.

As of October 7, 1996, the SEC eliminated the user fees previously adopted under the Independent Offices Appropriations Act of 1952 (IOAA). If you have additional questions regarding SEC filings fees or the list of filings in which the fees were eliminated, please contact the Fee Account Services Branch at (202) 551-8989.
