SEC NEWS DIGEST Issue 2003-34 February 21, 2003 COMMISSION ANNOUNCEMENTS FEE RATE ADVISORY #11 FOR FISCAL YEAR 2003 President Bush has signed H. J. Res. 2, the omnibus appropriations bill that includes funding for the Securities and Exchange Commission for the remainder of fiscal year 2003. Effective Feb. 25, 2003, the Section 6(b) fee rate applicable to the registration of securities, the Section 13(e) fee rate applicable to the repurchase of securities, and the Section 14(g) fee rates applicable to proxy solicitations and statements in corporate control transactions will decrease to $80.90 per million. The Section 6(b) rate is also the rate used to calculate the fees payable with the Annual Notice of Securities Sold Pursuant to Rule 24f-2 under the Investment Company Act of 1940. All filings submitted to the SEC before 5:30 p.m. EST, and filings pursuant to Rule 462(b) (17 C.F.R. 230.462(b)) submitted to the SEC before 10:00 p.m. EST, on Feb. 24, 2003, will be subject to the current fee rate of $92 per million. Rule 462(b) filings submitted after 10:00 p.m. EST, and all other filings submitted after 5:30 p.m. EST, on Feb. 24, 2003, shall be deemed filed as of the next business day, Feb. 25, 2003, under Section 232.13 of Regulation S-T (17 C.F.R. 232.13), and subject to the new fee rate of $80.90 per million. In addition, effective March 22, 2003, the Section 31 fee rate applicable to securities transactions on the exchanges and NASDAQ will decrease to $25.20 per million. The Section 31 assessment on security futures transactions will remain unchanged at $0.009 per round turn transaction. Self-regulatory organizations collect Section 31 fees pursuant to their rules. In addition, the Commission may be required to make a "mid-year" adjustment to the Section 31 fee rate, after consultation with CBO and OMB, which would be announced no later than March 1, 2003, effective April 1, 2003. (Press Rel. 2003-24) RULES AND RELATED MATTERS ADOPTION OF REGULATION ANALYST CERTIFICATION The Commission is adopting Regulation Analyst Certification to require that research reports disseminated by brokers, dealers, or covered persons include certifications by research analysts that the research report accurately reflects the analyst's personal views expressed in research reports, and whether the analyst received compensation in connection with his or her specific recommendations. Brokers or dealers are also required to obtain research analyst certifications in connection with their public appearances. (Rels. 33-8193; 34-47384) ENFORCEMENT PROCEEDINGS NORCROSS, GEORGIA BIOTECH COMPANY AND ITS PRESIDENT SETTLE LAWSUIT BROUGHT BY THE SEC International BioChemical Industries, Inc. (IBCL), a purported biotech firm located in Norcross, Georgia, and its president and chief executive officer Timothy C. Moses today settled the lawsuit filed by the Commission in the U.S. District Court for the Northern District of Georgia. The Commission's complaint in this matter alleged that, beginning on Jan. 29, 2003, IBCL issued a series of false and misleading press releases that falsely indicated that the federal government contacted the company to discuss the effectiveness of the company's products in the war on bio-terrorism and created the false impression that federal government was interested in purchasing IBCL's products. To the contrary, the Federal Bureau of Investigation (FBI) contacted IBCL pursuant to its inquiry into the post-Sept. 11, 2001 anthrax mailings. The FBI never expressed any interest in purchasing IBCL's products. The complaint alleges that, as a result of the false press releases, IBCL's share price and trading volume increased dramatically. As part of the settlement, the Court permanently enjoined IBCL and Moses from violating the antifraud provisions of the federal securities laws, Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The order against Mr. Moses also directed him to disgorge $11,648.33, representing the profits he gained as a result of the conduct alleged in the Commission's complaint plus prejudgment interest. According to the Court's orders, the issue of civil penalties to be paid by IBCL and Moses, if any, will be resolved at a later date. Moses and IBCL consented to the entry of these orders without admitting or denying the allegations in the Commission's complaint. International BioChemical Industries, Inc. and Timothy Moses, Case No. 1:03-CV-0346-JTC, NDGA] (LR-17991) SEC OBTAINS FINAL JUDGMENT AGAINST YEHUDA SHIV The Commission announced that on Jan. 23, 2003, the Honorable Alvin K. Hellerstein, U.S. District Judge for the Southern District of New York, entered a final judgment by consent against Yehuda Shiv in SEC v. Yehuda Shiv, et al., 01CV11282 (AKH) (SDNY). The judgment permanently enjoins Shiv from committing further violations of the antifraud provisions of the federal securities laws (Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b- 5 thereunder, and Sections 206(1) and 206(2) of the Investment Advisers Act of 1940). The judgment also orders Shiv to disgorge his illicit profits of $32,215,429, plus prejudgment interest but, based on Shiv's inability to pay, waived payment of all disgorgement and prejudgment interest except the surrender of certain assets valued at approximately $2.8 million. The Commission's complaint, filed on Dec. 10, 2001, alleged that from 1995 through 2001, Shiv and two registered investment advisers that he controlled, Sagam Capital Management Corp. and Sagam Capital LLC, created and sent account statements to their investment advisory clients that materially misstated the value of assets in the clients' accounts. Shiv charged his clients fees based upon the inflated values of these accounts. Additionally, to conceal his fraud, Shiv made several unauthorized transfers between his clients' accounts. Shiv consented to the entry of the final judgment without admitting or denying the allegations in the Commission's complaint. [SEC v.
