Dear Chairman Cox:
I'm writing to request that you protect the right of investors to file shareholder resolutions. I do not know and cannot find why you are proposing changes and what they are.
As an investor in many companies, I seriously study shareholder resolutions. More and more I find myself voting for shareholder resolutions and against management, particularly when voting on executive pay packages. Even when a shareholder resolution gets only 25% or 35% of the vote and the resolution fails, I believe the content of the resolution may influence future managerial decisions.
Shareholder resolutions have proven effective in holding companies accountable to stockholders.
