JUSTICE DEPARTMENT WILL NOT CHALLENGE
MERGER OF COMCAST AND AT&T BROADBAND

WASHINGTON, D.C. — Following the announcement by the Federal Communications Commission that it would approve Comcast Corporation's proposed acquisition of AT&T Broadband, Inc. as restructured to place certain Time Warner Entertainment assets in a trust, the Department of Justice announced today that it will not challenge the transaction. After a thorough investigation and analysis that included a large number of interviews of industry participants and a review of documents from various firms in the business, the Department's Antitrust Division has closed its investigation into the merger.
