Description of Transfer: The transfer will facilitiate the implementation of a series of asset sales agreements pursuant to which Orange and Rockland Utilities, Inc. (ORU) intends to sell its electronic generation asserts to various subsidiaries of Southern Energy, Inc. (includng Southern Energy NY-Gen). ORU has entered into these agreements in order to comply with the policies of the New York Public Service Commission mandating, in part, ORU's divestiture of [[Page 15743]] these assets in order to implement the State of New York's desire to foster a competitive, regional electric generation market through retail competition. l.
