Dear Sir or Madam,
    I support propsal File No. S7-36-02.  As a mutual fund investor I
would like to know how the funds' shares are voted.  I know the comment
deadline has passed, but I feel I have to say this anyway.  I just read
in Fidelity Focus that Fidelity opposed the rule; as a Fidelity investor,
I want to help counteract that opposition, which was taken without
consulting the investors.
