My comments follow and I ask for your serious consideration of them: I own shares in an array of mutual funds. I vote the funds' proxies when presented. However, I cannot vote the proxies of companies owned by my mutual funds; rather, the mutual funds vote these proxies themselves without even soliciting my opinions or attitudes before voting. Worse yet, my mutual funds do not disclose their votes to me. Accordingly, I cannot assess my funds' performance regarding their votes on issues that are important to me. Not being afforded the opportunity to vote, or express opinions and attitudes, or to see the voting performance of my representatives regarding such matters, is unconscionable and unfair. I believe the Securities and Exchange Commission should establish and enforce a rule that requires mutual funds to, at a minimum, report the issues on proxies presented to them and voted. The rule should require mutual funds to explain their vote and their share of all like-cast votes. The explanation should also include a description of the voted issue (both pro and con), the recommendation of the proxy issuer's management, and the mutual fund's rationale for voting as it did. The rule should also require this information to be provided to all mutual fund owners. I believe a rule similar to the one described above, or the one now in consideration ("File No. S7-36-02"), will provide mutual fund owners the information they need. With access to such information, mutual fund owners can assess their fund's performance on issues that will shape their funds' future and, perhaps, the future of American business and society.
