Material Transfer Agreement (MTA)
Purpose

Purpose of an MTA: To effect a simple transfer of proprietary material or information either to or from FDA. The MTA document defines the terms and conditions for transferring the material. 

• At the time of transfer no collaboration is anticipated.
• The recipient may use the materials for research purposes only.
• If the materials are covered by a U.S. government patent the recipient will then be able to license and use the materials for commercial purposes.
• Biological materials that are not protected by a patent may also be licensed and FDA may receive royalties.
• If the parties contemplate a cooperative research effort over a period of time or if money, staff or equipment is to be supplied by one or more parties, a CRADA is the proper instrument to use.
