Subject: VERMONT YANKEE HAS ACCEPTED A BID FROM AMERGEN FOR SALE OF
         THE PLANT

Discussion:

On October 15, 1999, the owners of Vermont Yankee accepted a bid from
Philadelphia-based AmerGen Energy Company for purchase of the plant. The
parties expect an execution of a binding purchase and sale agreement
during the week of October 18, 1999.

Before final closing, the deal will require numerous regulatory approvals
including the FERC, the NRC, the Securities and Exchange Commission, and
the Vermont Public Service Board. The sale has been the subject of
negotiations between Vermont Yankee's owners and AmerGen since February.

The asset purchase agreement provides that AmerGen will offer employment
to substantially all present Vermont Yankee personnel at the time of the
ownership transfer and will recognize the International Brotherhood of
Electrical Workers Union Local 300 as the bargaining agent for
transferred bargaining unit employees.
