PREAMBLE

The Federal Library and Information Center Committee (FLICC) is an organization of federal agencies established originally as the Federal Library Committee by the Librarian of Congress, at the behest of federal librarians and the Office of Management and Budget (then the Bureau of the Budget). FLICC continues in recognition of the need for cooperation and concerted action within the community of federal libraries and information centers. FLICC's purpose is to achieve better utilization of federal library and information center resources and facilities through promotion of common services, coordination and sharing of available resources, and professional development. FLICC also serves as a forum for discussion of federal library and information policies, programs, and procedures to help inform the Congress, federal agencies, and others concerned with libraries and information centers about these issues. A major goal of FLICC is to provide the most cost-effective and efficient information services possible to parent agency staffs, other government agencies, and the nation at large.

Authority: These Bylaws are established by the members of FLICC with the concurrence and approval of the Librarian of Congress, for the purpose of governing the organization and operation of FLICC as it functions under the authority of the Librarian of Congress and with the cooperation and concerted action of other Federal entities.

ARTICLE I. NAME

The name of this organization shall be the Federal Library and Information Center Committee (FLICC). The business subsidiary of FLICC is the Federal Library and Information Network (FEDLINK).

ARTICLE II. FLICC MEMBERSHIP

Section 1. MEMBERSHIP. The FLICC membership is made up of
  1. Permanent member organizations (see Section 2) represented by persons designated by those organizations,

  2. Fifteen persons elected by the voting members of FLICC and FEDLINK (see Section 3), and

  3. Members of the FEDLINK Advisory Council (see Article X, Section 1).

The Chair of FLICC is the Librarian of Congress or the Librarian's designee.

Only federal employees are eligible to serve on the Committee.

Section 2. PERMANENT MEMBERSHIP. The representatives of the permanent member organizations shall be designated by the Secretary of each department or the head of each agency, and shall serve at the pleasure of the designating organizations. Permanent members of FLICC are
  1. Librarian of Congress

  2. Director of the National Agricultural Library

  3. Director of the National Library of Education

  4. Director of the National Library of Medicine

  5. A representative from each of the cabinet level executive departments, as defined in Title 5, U.S. Code, Section 101 (5 USC 101).

  6. A representative from the Supreme Court of the U.S. Library and a representative from the Administrative Office of the U.S. Courts.

  7. A representative from each of the following:

    1. Defense Technical Information Center
    2. Department of Air Force

    3. Department of Army

    4. Department of Navy

    5. Executive Office of the President

    6. Government Printing Office

    7. National Aeronautics and Space Administration

    8. National Archives and Records Administration

    9. National Science Foundation

    10. National Technical Information Service (Department of Commerce)

    11. Office of Scientific and Technical Information (Department of Energy)

    12. Smithsonian Institution

    13. U.S. Information Agency

Section 3. ELECTED MEMBERSHIP. The fifteen persons elected by the FLICC/FEDLINK voting memberships shall serve for a term of three years, with five persons being elected each year. Elections shall be conducted by mail and may provide alternative options for returning ballots.

Section 4. EX-OFFICIO MEMBER. The FLICC Executive Director shall serve as a nonvoting member of FLICC.

Section 5. OBSERVERS. Observers are non-voting representatives invited to attend meetings for the purpose of advising the Committee about policy and procedures that impact federal libraries and information centers. One representative from each of the following organizations shall be named by the head of that organization to serve as an observer:
  1. General Accounting Office

  2. General Services Administration

  3. Joint Committee on Printing

  4. National Commission on Libraries and Information Science

  5. Office of Management and Budget

  6. Office of Personnel Management
  7. U.S. Copyright Office, Library of Congress

Section 6. LIAISONS WITH PROFESSIONAL ASSOCIATIONS. At the discretion of the FLICC Chair, representatives from professional associations may be invited to attend committee meetings as guests.

ARTICLE III. DUTIES AND RESPONSIBILITIES

Section 1. FLICC DUTIES:
  1. Coordinate cooperative activities and services among federal libraries and information centers.

  2. Serve as a forum to consider and make recommendations through the Librarian of Congress concerning:

    1. Issues and policies that affect federal libraries and information centers.

    2. Needs and priorities in providing information services to the federal government and to the nation at large.

    3. Efficient and cost-effective use of federal library and information resources and services.

  3. Encourage and promote:

    1. Improved access to information.

    2. Continued development and use of the Federal Library and Information Network (FEDLINK).

    3. Research and development in the application of new technologies to federal libraries and information centers.

    4. Improvements in the management of federal libraries and information centers.

    5. Relevant educational opportunities.

Section 2. EXECUTIVE DIRECTOR DUTIES:

  1. Manages all aspects of the work of the staff in carrying out the programs and activities assigned to it. Receives policy guidance and direction from the FLICC chair and advice from the FLICC Executive Board (FEB) (see Article V). Assumes a high level of initiative, vision, and independent responsibility for this program of national significance.

  2. Manages the operation of the Federal Library and Information Network (FEDLINK).

ARTICLE IV. FLICC MEMBERSHIP MEETINGS AND VOTING

Section 1. MEETINGS. Meetings of the membership shall be held quarterly and when called by the Chair. The Vice-Chair of the FEB shall preside in the absence of the Chair. The FLICC office shall issue a notice at least thirty days in advance of the meeting. The spring meeting shall be the annual business meeting for the purpose of receiving reports, approving the budget, and such other business as may properly arise. The proposed budget shall be circulated by the FEB (see Article V) through the FLICC office to the membership at least thirty days in advance of the meeting.

Section 2. QUORUM. A quorum of ten (10) official (i.e. non-proxy) members shall be necessary to vote and conduct business.

Section 3. VOTING. Each member shall be entitled to one vote. An alternate representative or proxy may be designated by the official representative, provided that such alternate is a federal employee and that the requirements of these Bylaws and the voting procedures approved by the FEB are met. Proxy designations shall be made in typed or written form, signed, or with a hard copy of an electronic mail transmission presented by the proxy designee at the time of the meeting.

Section 4. VOTE BY MAIL. A vote by mail may be ordered by the FEB. Ballots will indicate alternative return options. A minimum return of 25 ballots is necessary for a vote to be valid.

ARTICLE V. FLICC EXECUTIVE BOARD (FEB)

Section 1. MEMBERSHIP. FEB membership is made up of eleven (11) members consisting of

  1. Chair of FLICC who will also serve as the Chair of FEB,

  2. Six persons elected by the voting members of FLICC for appointment by the Chair (see Section 2),

  3. Three persons selected by the Chair for appointment to the FEB,

  4. Chair of FAC (see Article XI, Section 1), and

FEB members must be federal employees.

Section 2. ELECTED MEMBERSHIP. Six members are elected by the voting FLICC membership for appointment by the FEB Chair. These members shall serve staggered terms of three (3) years each, with two persons being elected each year. Elected FEB members are eligible for reelection limited to two consecutive terms. Candidates for the FEB election are chosen by FLICC members from its own membership. Elections are conducted by mail, and may provide alternative options for returning ballots.

Section 3. APPOINTED MEMBERSHIP. The Chair of FEB shall appoint three members to serve on the FEB for a term of three years. Appointed FEB members are eligible for reappointment limited to two consecutive terms.

Section 4. EX-OFFICIO MEMBER. The FLICC Executive Director shall serve as a nonvoting member of the FEB.

Section 5. DUTIES AND RESPONSIBILITIES. The FEB shall

  1. Formulate policies and present them to FLICC for review and approval,

  2. Participate in FLICC membership meetings,

  3. Establish FLICC Working Groups, as necessary,

  4. Recommend and present to the FLICC membership for approval program objectives, plans, and annual budgets for accomplishment of these objectives. This may include, but not be limited to, submissions from Standing Working Groups,

  5. Apprise the federal library community of issues related to FLICC programs, services, policies, or objectives; or of general interest to the community,

  6. Provide advice, policy guidance, and oversight to the FLICC Executive Director regarding FLICC programs and budgeting,

  7. Formulate policies for and, through the FAC, provide oversight to the operations of FEDLINK and approve new FEDLINK initiatives, and

  8. Settle disputes and interpret matters relating to FLICC membership, voting, etc.

Section 6. MEETINGS. The FEB shall hold meetings at least bi-monthly. A quorum of six (6) voting members shall be necessary to vote and conduct business.

Section 7. REMOVAL. FEB members who miss a total of 5 FEB or FLICC membership meetings in a 12 month period may be replaced for a lack of participation by a majority vote of the FEB.

Section 8. VACANCIES. Should a vacancy occur among the elected FEB members through resignation or removal, the candidate with the next highest number of votes in the most recent FEB election will fill the vacancy. Should a vacancy occur among the members appointed by the FEB Chair, the Chair shall appoint a replacement to complete the term of the vacancy.

Section 9. DUTIES OF THE CHAIR. The Chair of the FEB shall preside at all FLICC membership and FEB meetings and is responsible for calling regular and special meetings of FLICC and FEB for transaction of business in accordance with the Bylaws. The Chair shall appoint Working Group Chairs and members as required. The FEB Chair shall appoint a FEB member to act as either Chair or liaison to each Working Group.

Section 10. VICE-CHAIR. The Vice Chair of the FEB shall act in the absence of the Chair. At the first meeting of each calendar year, the chair of the FEB shall appoint a Vice-Chair upon nomination by the Board. The Vice-Chair will serve a term of one year or until a successor is appointed and takes office. The Vice-Chair shall be eligible for reappointment, limited to two consecutive terms. Should the office of Vice-Chair become vacant, a new one shall be immediately appointed from the remaining FEB members.

ARTICLE VI. FLICC WORKING GROUPS

Section 1. WORKING GROUPS. The Working Groups shall be of two classes: Standing Working Groups and Ad Hoc Working Groups. A list of the Working Groups shall be published annually by the FEB.

Section 2. STANDING WORKING GROUPS. The Standing Working Groups shall consist of the following:

  1. Budget & Finance,

  2. Policy,

  3. Nominating,

  4. Membership and Governance,

  5. Education, and

  6. Survey.

Other Standing Working Groups shall be established by the FEB Chair as necessary.

Standing Working Group Chairs and members shall be appointed by the FEB Chair. Standing Working Groups shall be established for ongoing requirements. The Chairs of the Standing Working Groups shall be appointed for a one-year term. Terms may be extended as necessary to provide continuity within a program. Each Standing Working Group shall submit timely activity reports and an annual budget, if needed, to the FEB.

Section 3. AD HOC WORKING GROUPS. Ad Hoc Working Groups shall be appointed as needed for a stated period to accomplish a specific purpose. Chairs and members shall be appointed by the FEB Chair. At the end of the stated period, the continuation of every Ad Hoc Working Group shall be decided by the FEB.

Section 4. FEB LIAISON. The Chair of the FEB shall appoint a FEB member to act as liaison from the FEB to each Standing and Ad Hoc Working Group.

Section 5. EX-OFFICIO MEMBER. The FLICC Executive Director shall be a nonvoting, ex-officio member of the Standing Working Groups.

Section 6. MEMBERSHIP. Membership of Working Groups including the Chair need not be limited to members of the FEB nor to the FLICC membership and may be drawn from the federal library community at large. In addition, specialists from outside the federal library community may be appointed as members of Working Groups.

Section 7. WORKING GROUP SIZE. The size of the Working Groups shall be determined by the FEB.

ARTICLE VII. FEDERAL LIBRARY AND INFORMATION NETWORK (FEDLINK)

OBJECTIVE. FLICC provides services to the federal library and information center community through its business subsidiary, FEDLINK, which operates to

  1. Obtain services, products, and systems, on behalf of FEDLINK members, to achieve more efficient and cost-effective utilization of Federal library and information resources,

  2. Provide for formal relationships between FEDLINK members and networks and biblio- graphic utilities,

  3. Represent the interests and concerns of member libraries and information centers,

  4. Provide training and demonstrations in network services and new library and information technology for the benefit of federal libraries and information centers, and

  5. Engage in other related matters serving the member libraries and information centers.

ARTICLE VIII. FEDLINK MEMBERSHIP

Section 1. MEMBERSHIP. Members of FEDLINK shall be those federal organizations that meet any one of the criteria listed below, and that obligate funds to FLICC for at least one FEDLINK-sponsored service through an Interagency Agreement (IAG) or Contract Usage Agreement (CUA):

  1. Receive 80 percent or more of their direct funding from the U.S. government;

  2. Are eligible by statute; and

  3. Are determined eligible by the Library of Congress general counsel.

Section 2. CATEGORIES OF MEMBERSHIP. The FEDLINK membership is made up of voting and non-voting federal members.

  1. A voting member shall be a federal library or federal information center.

  2. A non-voting member shall be any other user of FEDLINK not eligible to be a voting member.

Section 3. RESPONSIBILITIES OF MEMBERSHIP. All members shall

  1. Be responsible for specifying in writing, responsible contact person(s) for various committees and functions;

  2. Receive one mailing and be responsible for determining further distribution;

  3. Be responsible for payment of fees;

  4. Be responsible for proper use of systems and services.

Section 4. INTERPRETATION. All cases of discrepancy, conflict, or interpretation related to membership status, rights, or responsibilities shall be referred to the FEDLINK Advisory Council (FAC) for decision.

ARTICLE IX. FEDLINK MEMBERSHIP MEETINGS AND VOTING

Section 1. MEETINGS. Meetings of the FEDLINK membership shall be held semi-annually in the spring and fall. The Chair of the FAC shall preside. The FLICC office shall issue a notice to the full FEDLINK membership at least thirty days in advance of the meeting. The spring meeting shall be the annual business meeting for the purpose of receiving reports, reviewing the budget, and such other business as may properly arise.

Section 2. QUORUM. A quorum shall consist of 30 voting members, i.e. designated representatives of voting member organizations.

Section 3. VOTING. Each voting member organization shall be entitled to one vote per IAG. A voting representative shall be designated by the organization. An alternate or proxy may be designated by the voting representative. Proxy designations shall be made in typed or written form, signed, or with a hard copy of an electronic mail transmission presented by the proxy designee at the time of the meeting. The voting representative and any designated proxy shall be federal employees.

Section 4. VOTE BY MAIL. A vote by mail may be ordered by the FAC. Ballots will indicate alternative return options. A minimum return of 50 ballots is necessary for a vote to be valid.

ARTICLE X. FEDLINK ADVISORY COUNCIL (FAC)

Section 1. COUNCIL. The FAC shall consist of nine members elected by the FEDLINK voting membership. These members shall serve staggered terms of three (3) years each, with three persons being elected each year. FAC members are eligible for reelection limited to two consecutive terms. Candidates for the FAC election must be federal employees and come from FEDLINK voting member institutions. Elections shall be conducted by mail and may provide alternative options for returning ballots.

Section 2. EX-OFFICIO MEMBERS. The FLICC Executive Director and the FEDLINK Network Coordinator shall serve as nonvoting members of the FAC.

Section 3. DUTIES AND RESPONSIBILITIES. The FAC shall

  1. Provide advice, oversight, and assistance to the FLICC Executive Director concerning FEDLINK operations and services, in accordance with established FLICC policies,

  2. Apprise the membership of issues related to FEDLINK services, policies, or objectives, or other issues which are of general interest to the membership,

  3. Provide oversight, direction and assistance to FEDLINK OCLC Users Council Delegates concerning voting, issues, and like matters,

  4. Submit to the FEB for approval the projected annual budget, and initiatives for new FEDLINK services, programs, objectives, and plans,

  5. Settle disputes and interpret matters relating to FEDLINK membership, voting, and like matters, and

  6. Establish and instruct committees of the FAC.

Section 4. MEETINGS. The FAC shall hold meetings at least bi-monthly. A quorum of five (5) voting members shall be necessary to vote and conduct business.

Section 5. REMOVAL. FAC members who miss a total of four FAC meetings in a 12 month period may be replaced for lack of participation by a majority vote of the Council.

Section 6. VACANCIES. Should vacancies occur through resignation or removal, the candidate with the next highest number of votes in the most recent FAC election will fill the vacancy.

ARTICLE XI. FAC OFFICERS

Section 1. ELECTIONS. At the first meeting of each calendar year, the FAC shall elect from among its members a Chair, Vice-Chair, and a Secretary. These officers shall take office at the close of the meeting at which they are elected and shall serve terms of one year or until their successors are elected and take office. Officers shall be eligible for reelection, limited to two consecutive terms. Should the office of the Chair become vacant, the Vice-Chair shall assume the office for the remainder of the term. Other offices may be filled for the balance of the term by FAC election.

Section 2. DUTIES.

  1. Chair. The Chair of the FAC shall preside at all FAC meetings and shall be responsible for calling regular and special meetings of the FAC for transaction of business in accordance with the Bylaws. The Chair of FAC shall also serve as a member of FEB.

  2. Vice-Chair. The Vice-Chair of the FAC shall preside in the absence of the Chair.

  3. Secretary. The Secretary of the FAC shall record the minutes of the proceedings of all meetings, and provide a copy of the approved minutes to the FLICC Executive Director for further distribution, as needed.

ARTICLE XII. FEDLINK DELEGATION TO ONLINE COMPUTER LIBRARY CENTER (OCLC) USERS COUNCIL

Section 1. The FEDLINK Voting Members who use OCLC shall elect a delegation of representatives to the OCLC Users Council. The delegates shall be from among FEDLINK members who are users of OCLC and as many in number as shall be required and authorized by OCLC. Delegates shall, to the extent possible, be representative of the FEDLINK membership.

Section 2. FEDLINK Members who participate in OCLC shall be general members of OCLC and shall be represented in the governance of OCLC by the FEDLINK delegates to the OCLC Users Council.

Section 3. POWERS AND DUTIES. FEDLINK delegates shall have the following powers and duties:

  1. Attend meetings of the OCLC Users Council and present issues and recommendations, as directed by the FAC,

  2. Adhere to voting guidelines so directed by the FAC, and

  3. Report User Council issues and actions/recommendations to the FAC and, if so directed by the FAC, to the FEDLINK membership.

Section 4. ELECTIONS. The delegates shall be qualified and selected in accordance with the Code of Regulations of OCLC, Article V. Should a vacancy occur, elected alternates shall succeed as delegates.

Section 5. TERM. Delegates shall be elected for staggered three year terms. Each delegate shall hold office until his/her successor has been elected and commenced his/her term. Delegates may be reelected.

ARTICLE XIII. PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall be used as a guide in all cases to which they are applicable and in which they are not inconsistent with these Bylaws or any special rules applicable to FLICC. The Chair shall control and conduct meetings in an orderly fashion.

ARTICLE XIV. AMENDMENT OF THE BYLAWS

These Bylaws may be amended at any FLICC meeting by a two-thirds vote of the members voting, subject to the concurrence of the Librarian of Congress. Proposed amendments to the Bylaws shall be submitted to the Chair of FLICC at least six weeks in advance, and, upon direction of the FEB, circulated to the FLICC membership by the FLICC office at least thirty days in advance of the meeting at which they are to be considered.
